It is with a heavy heart that I share with you the news that ________ passed away last ________.

________ was a partner at ________ and, as a consequence of their passing, the partnership is effectively dissolved. Please be informed that the dissolution of the partnership means that the partners are no longer authorized to enter into any new contracts, incur new obligations, or otherwise continue doing business in the name of the partnership, unless the same is for the purpose of liquidation and winding up the affairs of the partnership. Accordingly, the remaining partners shall proceed with the winding up of the partnership's affairs, including the settlement of all outstanding obligations and the liquidation of its assets. Any transactions undertaken from this point forward shall be solely for the purpose of completing the liquidation and winding up of the partnership. We kindly request that you direct any existing claims, accounts, or matters concerning the partnership to the undersigned so that the same may be properly addressed during the winding up process.
