I write in connection with the ________ executed by and between us on ________ (the “Contract”), the subject matter of which is described as follows:

§ 1. Purpose of this Notice. This letter constitutes formal written notice, given pursuant to the relevant provisions of the Contract and in accordance with Articles 1159, 1306, 1370 and 1374 of the Civil Code of the Philippines (Republic Act No. 386), of my decision not to renew or extend the Contract. A true copy of the Contract is attached hereto for your ready reference.

§ 2. Term and Expiration. The Contract is set to expire by its own terms on ________ (the “Expiration Date”).

§ 3. Compliance with the Notice Period. Under the Contract, written notice of non-renewal must be given at least ________ prior to the Expiration Date. In accordance with the foregoing stipulation, which is the law between the parties pursuant to Article 1159 of the Civil Code, I hereby furnish you with this written notice well within the required period prior to the Expiration Date.

§ 6. Turnover and Settlement. On or before the Expiration Date, kindly cause the settlement of all outstanding accounts and the return or turnover of all documents, property, and materials in your possession or control belonging to the undersigned, if any, in accordance with the terms of the Contract.

§ 7. Governing Law and Venue. This notice and the Contract shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising from or in connection therewith shall be brought exclusively before the proper courts of ________, to the exclusion of all other venues.
