Re: CEASE AND DESIST — Breach of Non-Disclosure / Confidentiality Agreement

Dear ________,

We write on behalf of and upon the express instructions of our client, ________, with address at ________ (the “Disclosing Party”), in connection with your serious breach of the Non-Disclosure / Confidentiality Agreement dated ________ (the “Agreement”), to which you are a signatory. A copy of the Agreement is attached hereto for your ready reference.

§1. The Agreement and the Confidential Information. Under the Agreement, you bound yourself to hold in strict confidence, and to refrain from using, reproducing, or disclosing to any third party, the following confidential and proprietary information (the “Confidential Information”):

§2. The Breach. It has come to our client’s attention that you have made an unauthorized disclosure and/or use of the Confidential Information in the following manner:

2. Return to our client, or destroy and certify in writing the destruction of, all documents, files, copies, and materials in any form containing or derived from the Confidential Information;
3. Disclose in writing the identity of every person or entity to whom the Confidential Information has been disclosed; and
4. Provide written confirmation and assurance of your compliance with each of the foregoing demands.

§4. Period to Comply. You are required to fully comply with the foregoing demands within ________ days from your receipt of this letter.

We trust that you will give this matter your immediate and serious attention in order to avoid further legal consequences.
