AMENDMENT AGREEMENT NO. 1

WHEREFORE, the First Party and the Second Party entered into the following agreement dated ________ (the "Original Agreement"):

WHEREFORE, the First Party and the Second Party desire to amend the Original Agreement.

NOW THEREFORE, for mutual consideration which is hereby acknowledged and the following terms and conditions, the Parties agree as follows:

3. The following shall be amended from the Original Agreement which will hereafter be read as follows:

4. This Amendment Agreement shall be effective upon the execution of this Amendment Agreement by the Parties or their authorized representatives.

5. This Amendment Agreement amends and shall constitute an integral part of the Original Agreement. This Amendment Agreement and the Original Agreement must be read together and shall constitute one (1) agreement.

6. All other obligations, terms, and conditions contained in the Original Agreement shall continue in full force and effect until the termination of the Original Agreement unless otherwise specifically amended herein.

7. This Amendment Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
