LEASE AMENDMENT AGREEMENT NO. ________

KNOW ALL MEN BY THESE PRESENTS:

This Lease Amendment Agreement (the "Agreement") is entered into and made effective this ________ day of ________, 20________, at the City/Municipality of ________, Province of ________, by and between:

________, Filipino, of legal age, with postal address at ________, and bearing Tax Identification Number ________, hereinafter referred to as the "Lessor";

-and-

________, Filipino, of legal age, with postal address at ________, and bearing Tax Identification Number ________, hereinafter referred to as the "Lessee".

The Lessor and the Lessee are hereinafter collectively referred to as the "Parties" and individually as a "Party."

WITNESSETH: That

WHEREAS, the Parties executed a Contract of Lease dated ________ (the "Lease"), governed by the pertinent provisions of the Civil Code of the Philippines (Republic Act No. 386), particularly Articles 1642 to 1688 thereof, covering the lease of the following property (the "Leased Property"):

WHEREAS, the Parties have mutually agreed to amend certain terms and conditions of the Lease as hereinafter set forth, pursuant to Article 1306 of the Civil Code of the Philippines, which recognizes the autonomy of contracting parties to establish such stipulations, clauses, terms, and conditions as they may deem convenient, provided they are not contrary to law, morals, good customs, public order, or public policy;

NOW THEREFORE, for and in consideration of the foregoing premises and of the mutual covenants and obligations hereinafter set forth, the Parties hereby agree as follows:

§ I. AMENDMENT

Subject to the terms and conditions herein, the Parties hereby agree to amend the Lease as follows:

§ II. NO ADDITIONAL CHANGES

The amendment described above shall constitute the sole and exclusive amendment to the Lease and, except as expressly provided herein, all of the terms, covenants, and conditions of the Lease shall remain the same and continue in full force and effect, and are hereby ratified and confirmed by the Parties.

§ III. ENTIRE AGREEMENT

This Agreement, together with the Lease, contains the entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior understandings, negotiations, and agreements, whether oral or written, between the Parties. Any subsequent amendment to this Agreement or the Lease shall be valid and binding only if made in writing and signed by both Parties.

§ IV. BINDING EFFECT

This Agreement shall be binding upon and shall inure to the benefit of the Parties hereto and their respective heirs, successors-in-interest, administrators, executors, and assigns.

§ V. SEVERABILITY

If any provision or part thereof of this Agreement is declared invalid, void, or unenforceable by a court of competent jurisdiction or by operation of law, the remaining provisions and parts hereof shall remain valid, binding, and enforceable to the fullest extent permitted by law.

§ VI. GOVERNING LAW AND VENUE

This Agreement and the Lease shall be governed by, construed, and interpreted in accordance with the laws of the Republic of the Philippines. The Parties agree that any action or proceeding arising out of or in connection with this Agreement shall be brought exclusively before the proper courts of ________, to the exclusion of all other venues.

§ VII. DATA PRIVACY

The Parties acknowledge that any personal information disclosed under this Agreement shall be collected, used, and processed solely for purposes related to this Agreement and the Lease, in accordance with the Data Privacy Act of 2012 (Republic Act No. 10173) and its Implementing Rules and Regulations.
