INTERNSHIP AGREEMENT
KNOW ALL MEN BY THESE PRESENTS:
This Agreement for Internship is entered into this _______ day of ________________________, 20_______ at the City/Municipality of ________________________, Province of ________________________ by and between:
________, a corporation duly organized and existing under and by virtue of the the laws of the Republic of the Philippines with principal address at ________, herein represented in this act by ________, who holds the following position at ________: ________, hereinafter referred to as the "Employer"

________, Filipino, of legal age, and with residential address at ________, hereinafter referred to as the "Intern"
WHEREAS, the Employer is engaged in the business of the following nature:
________; and allows potential interns to take part in the internship program that the Employer offers.
WHEREAS, the Intern is a student of the following degree or program: ________, in the following educational institution: ________, and is seeking to gain practical knowledge and experience in the relevant field.
WHEREAS, the Employer agrees to allow the intern the acquire the necessary skills, knowledge, experience, and competence during the course of the internship.
WHEREAS, the Intern has qualified as such by the Employer to be a part of the Employer's Internship Program.
WHEREAS, the Employer hereby offers and the Intern hereby accepts the Internship Program.
NOW THEREFORE, in consideration of the foregoing and the terms and conditions set hereafter, the Parties agree as follows:
I. TERM
The Intern's commencement date shall be on ________, and will continue until ________. The term of the internship shall be for the following period:

II. DUTIES AND RESPONSIBILITIES

The duties and responsibilities of the Intern have likewise been explained to them and the Intern was given the opportunity to ask questions and discuss the duties and responsibilities at the time of engagement.
III. PROBATION PERIOD
The Intern has been given the opportunity to discuss and ask questions about the standards laid down by the Employer to pass the probationary period at the time of the engagement of the Intern.
The Intern shall be given the following probationary period: ________, during which the Employer may determine on the basis of its sole judgment and discretion whether the Intern shall continue the internship until its full termination. The Employer reserves the right to terminate the internship if the Intern does not comply with the Employer's standards, in which case, the Employer shall serve a notice to the Intern showing the Employer's decision and evaluation of the Intern's performance not later than the lapse of the probationary period.
IV. COMPENSATION OR STIPEND

VII. COMPANY RULES AND REGULATIONS
The Intern shall follow all Employer's rules and regulations, written or otherwise. All existing and future company rules and regulations shall be deemed incorporated into this Agreement.
It shall be the duty and responsibility of the Intern to be aware of and comply with the Employer's rules and regulations.
The Intern has been provided with a copy of the following document: ________ at the execution of this Agreement. Said document outlines the policies, rules, and regulations of the Employer. The Intern undertakes to read and understand the document and comply with the same.
The Intern shall likewise observe laws, rules, and regulations, as well as standards of fairness, good customs, transparency, and honesty in the course of the internship.
The Employer undertakes to provide an updated version of said document and any new policies, rules, and regulations that may be implemented in the future. Posting any updates in the policies, rules, and regulations in a place easily and regularly accessible to the Intern fulfills this requirement.
VIII. EMPLOYER'S DUTIES AND RESPONSIBILITIES
The Employer agrees to provide the necessary materials and instruction to the Intern for the proper performance of the Intern's duties and obligations that will or may be assigned. In particular, the Employer agrees that:
1. The training of the Intern shall be under the guidance and supervision of the following employee: ________. This person shall be assigned by the Employer to ensure that the Intern obtains sufficient and necessary skills, knowledge, experience, and competence in the course of the internship.
Further, the supervising employee shall be reached through the following means of communication:

2.The supervising employee shall coordinate with the representatives or the responsible persons of the Intern's school to evaluate the Intern and to determine whether the Intern has satisfactorily completed by the Internship.
3. The evaluation shall be conducted within a reasonable time after the completion of the internship.
4. The standards, policies, and programs in the workplace shall be explained and discussed with the Intern at the time of engagement.
5. The provision of evaluation and monitoring of the work performance of the Intern shall be made during the course of and after the termination of the Internship.
6. The Employer shall issue a Certificate of Completion in favor of the Intern after the completion of the term under this Agreement.
7. The Intern shall be provided with the following resources to accomplish the work assigned:

IX. TERMINATION BY THE EMPLOYER
The Employer may terminate the internship at any time prior to the expiration of the term of this Agreement for any just or authorized cause, including but not limited to the Intern's failure to comply with the Employer's rules, regulations, standards, policies, and lawful instructions, or the Intern's commission of any act or omission prejudicial to the interest of the Employer.
The Employer shall serve a written notice to the Intern stating the ground or grounds for the termination and the effective date thereof. The Intern shall be given the opportunity to explain or be heard prior to the termination, except in cases where the circumstances warrant immediate termination.
X. RESIGNATION OF THE INTERN
The Intern shall give written notice of their intention to resign from the internship for the following period: ________ days prior to the effective date of resignation.
XI. RETURN OF PROPERTY
Upon the termination of the internship for any cause or reason, or upon the written request of the Employer, the Intern shall immediately surrender and return to the Employer all properties, equipment, documents, materials, records, and other items belonging to the Employer that were issued to, used by, or in the possession of the Intern during the course of the internship, whether in physical or electronic form.
The Intern shall be held liable for any loss, damage, or destruction of the Employer's properties due to the fault or negligence of the Intern, and the Employer reserves the right to demand reimbursement or indemnification for the value thereof.
XII. CONFIDENTIALITY
The Intern hereby acknowledges and agrees that the Employer possesses certain non-public Confidential Information (as hereinafter defined) regarding its business operations and development. The Intern acknowledges and agrees that the Confidential Information is secret and valuable to the Employer's business and that due to the nature of the Intern's internship, the Intern will have access to the Employer's Confidential Information. The Employer desires to maintain the secret and private nature of any Confidential Information given.
"Confidential Information" also refers to any formula, process, method, pattern, design, or other information that is not known or reasonably ascertainable by the public, consumers, or competitors through which, because of such secrecy, an economic or commercial advantage can be achieved.
For purposes of this section, "Confidential Information" shall also refer to physical keys or other forms of access to the Employer's place of business and/or other locations where Confidential Information is stored.
Confidential Information may or may not be disclosed as such, through labeling, but is to be considered any information which ought to be treated as confidential under the circumstances through which it was disclosed.
Confidential Information shall not mean any information which:
1. is known or available to the public at the time of disclosure or became known or available after disclosure through no fault of the Intern;
2. is already known, through legal means, by the Intern;
3. is given by the Employer to third parties, other than the Intern, without any restrictions;
4. is given to the Intern by any third parties who legally had the Confidential Information and the right to disclose it; or
5. is developed independently by the Intern and the Intern can show such independent development.
Intern hereby agree that they shall:
1. Not disclose to a third party that they are in possession of such Confidential Information;
2. Not disclose the Confidential Information via any unauthorized means to any third parties or other Interns of the Employer unless, as determined by the Employer, such third parties or Interns are required to have knowledge of the Confidential Information for the purpose of this Agreement and that such third parties or Interns have been advised of the confidential and proprietary nature of the Confidential Information;
3. Not copy or reproduce the Confidential Information or any part thereof except as may be required by this Agreement. Any copy or reproduction of the Confidential Information shall be the property of the Employer unless otherwise agreed upon in writing;
4. Not use the Confidential Information for any purpose except those contemplated herein or expressly authorized by the Employer.
If the Intern will be required to divulge any Confidential Information or other information learned during the course of internship by any governmental agency, judicial form, or court, the Intern shall notify the Employer of said requirement at least 10 days prior to the date of said required disclosure.
This clause shall survive the termination of this Agreement.
XIII. NON-COMPETE
The Intern shall not, directly or indirectly, engage in or be involved with a local or foreign corporation, firm, business, association, or enterprise that directly competes with the business of the Employer nor shall the Intern solicit or provide services to any of the Employer's client or customers for the following period: ________ after the date of separation or termination without the written consent of the Employer.

XIV. SEVERABILITY
The invalidity of any portion of this Agreement will not and shall not be deemed to affect the validity of any other provision. In the event that any provision of this Agreement is held to be invalid, the Employer and the Intern agree that the remaining provisions shall be deemed to be in full force and effect as if they had been executed subsequent to the expungement of the invalid provision.
XV. HEADINGS
Headings are for convenience only and do not affect the interpretation of this Agreement.
XVI. RELATIONSHIP OF THE PARTIES
Unless the Intern is absorbed by the Employer as an employee after the termination of the internship, nothing in this Agreement shall be construed to create an employer-employee relationship nor shall there be a partnership, joint venture, or any other relationship of fiduciary nature, and the Intern shall at all times remain as such for the duration of this Agreement.
XVII. APPLICABLE LAW
This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines and all disputes shall be under the jurisdiction of the proper authorities and/or courts of the Philippines.
XVIII. ENTIRETY OF AGREEMENT
This Agreement represents the entire agreement between the Employer and the Intern and supersedes all prior negotiations, representations, and agreements, either oral or written.
