Sub: Demand for refund of refundable interest-free security deposit in respect of the premises situated at ________, leased by ________ pursuant to the registered Lease Deed dated ________.

We, ________, having our address at ________ (the "Lessee"), address you as under in respect of the above-captioned subject matter.

§ 1. The Lease Deed

1.1 We refer to the Lease Deed dated ________, registered before the Office of the Sub-Registrar at ________ under Document No. ________ (the "Lease Deed"), executed between ________ (the Lessor) and ________ (the Lessee), in terms of which the premises situated at ________ (the "Premises") was demised and leased unto us for a term of ________, commencing on ________.

§ 2. The Security Deposit

2.1 In accordance with Clause ________ of the Lease Deed, the Lessee paid to the Lessor a refundable, interest-free security deposit of Rs. ________ (Rupees ________ only) (the "Security Deposit"), vide ________ dated ________, the receipt whereof was duly acknowledged by the Lessor.

2.2 Under the express terms of the Lease Deed, the Security Deposit is liable to be refunded by the Lessor to the Lessee, free of interest, simultaneously upon the expiry or earlier determination of the lease and the handing over of vacant and peaceful possession of the Premises by the Lessee to the Lessor.

§ 3. Expiry of the Lease and Handover of Possession

3.1 The lease constituted by the Lease Deed has duly expired/been determined, and the Lessee has handed over vacant, peaceful and physical possession of the Premises to the Lessor on ________, on which date all keys, access cards and fittings belonging to the Lessor were returned and accepted.

3.3 Accordingly, each and every condition precedent for the refund of the Security Deposit, as stipulated under the Lease Deed, stands fully and unconditionally satisfied.

§ 4. Demand for Refund

4.1 In the premises aforesaid, the Lessee hereby calls upon and demands that the Lessor forthwith refund the entire Security Deposit of Rs. ________ (Rupees ________ only), without any deduction whatsoever, to the Lessee within a period of ________ days from the date of receipt of this letter, by way of credit to the following bank account of the Lessee:

§ 5. Reservation of Rights and Consequences of Default

5.1 Without prejudice to any rights, remedies and entitlements available to the Lessee under the Lease Deed, under the Indian Contract Act, 1872, the Transfer of Property Act, 1882, and under law and equity, in the event that the Security Deposit is not refunded in full within the aforesaid period of ________ days from the receipt of this letter, it shall be presumed that the Lessor intends to wrongfully withhold and/or lay claim to some or all of the Security Deposit. Any such withholding or claim is hereby expressly disputed and denied.

5.2 In such event, the Lessor shall be liable to pay to the Lessee interest at the rate of ________% per annum on the amount remaining unrefunded, computed from the expiry of the aforesaid period until the date on which the entire Security Deposit, together with such interest, is actually received by the Lessee.

5.4 Nothing contained in this letter shall be construed as a waiver, abandonment or relinquishment of any of the rights, claims or remedies of the Lessee, all of which are expressly reserved.
