OPERATIVE PROVISIONS

In consideration of the matters described above, and of the mutual benefits and obligations set out in this Amendment Agreement, (the receipt and sufficiency of which consideration is hereby acknowledged), the parties to this Amendment Agreement hereby agree as follows:

(2) This Amendment Agreement No. 1 amends the Original Agreement, and both must be read together, and constitute one (1) agreement.

(3) All other obligations, terms and conditions contained in the Original Agreement continue in full force and effect until the termination of the Original Agreement unless otherwise specifically amended herein.

(5) This Amendment Agreement is governed by and must be construed in accordance with the laws in force in the State or Territory in which the Original Agreement is governed, and each party irrevocably submits to the non-exclusive jurisdiction of the courts of that State or Territory and the courts of appeal from them.
