(2.1). Agreed definitions and interpretations
In this deed, the definitions and interpretations shall apply as set out in this Clause (Clause 2.1).
(2.1.1). The parties
Party A and Party B shall be collectively referred to as the Parties.
(2.1.2). The Contract
The Contract means the contract between the parties dated ________, a full copy of which is attached to this deed at Schedule 1.
(2.1.3). Liability
Any reference to liability includes the liability of each party arising from or in connection with the Contract, including but not limited to liability in contract or tort, whether caused by negligence, fraud or misrepresentation or any other cause recognised by law.
(2.1.4). Claims
Claims shall include any and all claims, counterclaims, indemnities, actions, demands, interests or rights of each party which arise from or in connection with the Contract.
(2.1.5). Terminology
In this deed, any words used in the singular form include the plural (and vice versa).
(2.2). Termination
Each of the Parties agrees and acknowledges that:
(2.2.1). the Contract shall be terminated from the date of ________ (the Termination Date); and
(2.2.2). from the Termination Date, the Contract shall cease to be in force and shall no longer take effect; and
(2.2.3). from the Termination Date, each party releases the other party from all obligations, duties, rights, and interests under the Contract; and
(2.2.4). from the Termination Date each party releases the other party from all future and past liability under the Contract; and
(2.2.5). from the Termination Date, each party waives all future and past claims against the other party in relation to the Contract.
