Dear ________,
I. Notice of Death. It is with deep regret that the undersigned informs you of the death of ________, who passed away on ________ at ________.
II. Dissolution by Operation of Law. The late ________ was a partner in ________, a partnership duly organized under the laws of the Republic of the Philippines, with principal office at ________, registered with the Securities and Exchange Commission under Registration No. ________ and bearing Taxpayer Identification No. ________ (the “Partnership”). Pursuant to Article 1830 (5) of the Civil Code of the Philippines (Republic Act No. 386), the death of a partner causes the dissolution of the partnership by operation of law. Accordingly, please be formally notified that the Partnership has been dissolved effective ________.
IV. Winding Up and Liquidation. Pursuant to Articles 1836 and 1839 of the Civil Code, the surviving partner(s), namely ________, shall proceed with the winding up of the Partnership's affairs, including the collection of receivables, the settlement and discharge of all outstanding liabilities to creditors, and thereafter the distribution of any remaining assets in accordance with law and the Articles of Partnership. The interest of the deceased partner in the Partnership shall be accounted for and paid to his/her estate or legal heirs as provided under Articles 1841 and 1842 of the Civil Code.
V. Direction of Claims and Communications. All claims, accounts, demands, or other matters concerning the Partnership should be directed in writing to the undersigned at the address indicated above on or before ________, so that the same may be properly verified and addressed during the winding up process. Any payments to or transactions with the Partnership should likewise be coursed through the undersigned.
