Dear ________,
I, ________, of legal age, with address at ________ (the “Lessor”), write in my capacity as Lessor under that certain Contract of Lease dated ________ (the “Lease”) executed by and between the Lessor and you, ________ (the “Lessee”), covering the following premises (the “Leased Premises”):

1. Receipt of Your Request. I acknowledge receipt on ________ of your written request seeking my consent to sublease or sublet the Leased Premises, in whole or in part, to ________ (the “Request”).
2. Denial of the Request. After due consideration, I regret to inform you that the Request is hereby DENIED. My consent to any sublease, sublet, assignment, or other transfer of your rights under the Lease is, and remains, withheld.
3. Legal and Contractual Basis.
- Section ________ of the Lease expressly prohibits the Lessee from subleasing, subletting, assigning, mortgaging, or in any manner encumbering or transferring its rights over the Leased Premises, in whole or in part, without the prior written consent of the Lessor.
- Pursuant to Article 1159 of the Civil Code, obligations arising from contracts have the force of law between the contracting parties and must be complied with in good faith. Accordingly, your proposed sublease, absent my written consent, would constitute a breach of the Lease.
A copy of the Lease is attached hereto and made an integral part of this letter for your ready reference.
5. Continuing Obligations. Nothing in this letter shall be construed as a waiver, modification, or novation of any term, condition, or right under the Lease, all of which remain in full force and effect. You are reminded to continue to faithfully comply with all your obligations under the Lease, including the timely payment of rentals and other charges, and the proper use and care of the Leased Premises.
6. Reservation of Rights. The Lessor expressly reserves all rights, remedies, and causes of action available to him/her under the Lease, the Civil Code of the Philippines, and other applicable laws. No delay or failure on the part of the Lessor in exercising any such right shall operate as a waiver thereof.
Should you wish to pre-terminate the Lease or vacate the Leased Premises, kindly observe the notice period and other requirements provided under Section ________ of the Lease.
