NON-COMPETE AGREEMENT

AND

(hereinafter referred to as the "Employee"). (collectively known as the "Parties")
WHEREAS
a. The Employer has retained the services of the Employee, thus there exists and Employer-Employee relationship between the Parties.
b. Accordingly, the Parties have agreed that the provisions of this Agreement shall be supplemental to any previous letter of employment and any other agreement executed by the Parties.
1. Non-Competition
a. The Parties agree that during the term of the contract and for the following period after the expiration of the contract with the Employer: ________, the Employee shall not directly or indirectly engage in any business that competes with the Employer's business.
b. Directly or indirectly engaging in a competitive business includes but not limited to the following:
(I) seeking to procure order from or do business with any client or customer of the Employer;
(II) setting up a company or any other organization that engages in the provision of products or services offered by the Employer;
(III) giving advice or work directly or indirectly for any person, business or any other organization as employee, independent contractor, director, consultant, etc.
c. This covenant shall apply within the following geographical area:

2. Consideration of Employment
In consideration of the commitment and promises made by the Employer, the Parties agree that this Agreement is a condition of the Employment of the within named Employee.
3. Remedies
a. If the Employee breaches any fundamental term in this Agreement, the Employer shall be entitled to the sum of ₦________ (________) as penalty for the breach.
b. In addition to any other remedies, the Employer shall also be entitled to injunction and other legal and equitable reliefs.
4. Indemnity
The Employee agrees to indemnify the Employer from and against any loss, cost or damage of any kind (including attorney's fees) to the extent arising out its breach of this Agreement, and/or its negligence or willful misconduct.
5. Confidentiality Obligations
a. The Employee hereby acknowledges that in connection with this Agreement, they may have access to confidential information and materials. The Employee hereby undertakes and agrees to the following:
(I) to take proper and reasonable measures to ensure the confidentiality of the proprietary information under this Agreement;
(II) not to disclose the confidential information or allow it to be disclosed in whole or in part to any third party without the prior consent of the Employer; and
(III) not to use the confidential information in whole or in part for any purpose except for the Purpose stated in this agreement.
b. The Employee undertakes to take proper and reasonable measures to ensure the confidentiality of the confidential information.
c. The Employee agrees that no license, intellectual property rights in the confidential information are conferred to the Employee.
d. The Employee confirms its entrance into this Agreement on the understanding that any breach on the its part will entitle the Employer to specific performance and any other form of equitable relief to enforce the provisions of this Agreement.
6. Governing Law
This Contract shall be interpreted and construed in accordance with the laws of the Federal Republic of Nigeria.
7. Jurisdiction
The Parties agree that the Nigerian courts shall have the exclusive jurisdiction to settle any dispute or claim in connection with this contract.
8. Entire Agreement
This Agreement and any other document referred to in this Agreement, constitute the entire agreement between the parties and supersedes any prior written or oral agreements made between them.
9. Notices
All notices under this Agreement shall be in writing. The notices shall be delivered personally or mailed by a certified mail to the other Party at the address written in this Agreement or attorney's address.

No amendment, variation or modification of this Agreement shall be valid or binding on the Parties unless made in writing and duly signed by both Parties.
12. Waiver
