上記の賃貸人と賃借人は、________付け________（これに加えられた追加・修正・変更・更新等がある場合はそれを含む。以下「原契約」という。）の条項を下記のとおり変更することに合意し、これを証するため本覚書を作成する。
第1条 原契約条項の変更
原契約の条項を次のとおり変更する。

第2条 原契約の適用
本覚書に記載されている事項の他は、原契約の条項が引き続き適用される。
第3条 効力発生日
本覚書による原契約変更の効力は、下記の本覚書締結日から直ちに発生する。
第4条 準拠法
本覚書の有効性、解釈、及び履行については日本法に準拠し、日本法に従って解釈される。
第5条 協議事項
本覚書に定めのない事項又は本覚書の条項の解釈について疑義が生じた場合は、賃貸人及び賃借人は、信義誠実の原則に従い、誠意をもって協議の上、これを解決するものとする。
本覚書の成立を証するため、本書を2通作成し、賃貸人及び賃借人が各自署名又は記名押印の上、各1通を保有する。
