Re: Offer of Internship

We are pleased to offer you an internship on a full-time basis in the role of: ________. This letter sets out the terms and conditions of the internship being offered by ________ (the "Employer" or the "Company").

It is expressly recorded and agreed that this internship is in the nature of a training and skill-development engagement, is not a contract of employment, and shall not create any relationship of employer and employee between the parties. Nothing in this letter shall be construed as an offer or guarantee of employment upon completion of the internship.

The internship will commence on ________ (the "Commencement Date") and will continue until ________, unless terminated earlier in accordance with the terms hereof.

Please read this letter carefully and indicate your acceptance of the offer by signing and returning a copy of this letter to the Employer.


§ 1. Position and Duties

1.1 You will be engaged on the terms and conditions set out in this letter, in the role of: ________.

1.2 In addition to any duties reasonably allocated by the Employer from time to time, your position will involve the duties set out below:

1.3 You shall report to ________ and shall faithfully and diligently discharge your duties to the best of your skill and ability, and comply with all lawful and reasonable directions of the Employer.


§ 2. Location

2.1 You will be based at the address set out below, although the Employer may, in its reasonable discretion, direct you to work at various locations from time to time:

§ 3. Probationary Period

3.1 Your internship is subject to the satisfactory completion of a probationary period of ________ (________) business days from the Commencement Date.

3.2 The probationary period is intended to allow the Employer to assess your suitability to fulfil the role. During the probationary period, the internship may be terminated by either party upon giving 7 (seven) business days' prior written notice (or payment of stipend in lieu of such notice).


§ 4. Hours of Engagement

4.1 As a full-time intern, you will be required to devote the whole of your time and attention during the Employer's ordinary business hours, being ________, to the performance of your duties under this letter.

4.2 You shall not be entitled to receive any additional remuneration for work performed outside the hours referred to in sub-clause 4.1 above, save as expressly provided in § 5 below.


§ 5. Stipend and Benefits

5.1 In consideration of your services during the internship, you will be paid a stipend as follows: a total lump sum of Rs. ________ (________) for the completion of the internship.

5.2 You shall be entitled to additional remuneration for hours worked in excess of the ordinary hours, at the rate of ________, provided that such additional hours have been approved in writing by the Employer in advance.

5.3 You shall be entitled to submit an invoice/statement to the Employer at the following intervals: weekly.

5.4 The stipend will be paid within a period of ________ (________) business days from receipt of the invoice from you.

5.5 The stipend will be paid by way of electronic bank transfer, into the bank account, the details of which are set out below:

5.6 All payments of stipend shall be subject to deduction of tax at source and any other statutory deductions as may be applicable under the Income-tax Act, 1961 and any other law in force.


§ 6. Leave

6.1 You will be entitled to such leave as is provided for under the applicable laws and the leave policy of the Employer, as in force from time to time, on a pro-rata basis for the duration of the internship.


§ 7. Company Policies

7.1 You agree that the Employer's policies, codes of conduct and rules, as amended or replaced from time to time, including its policies on prevention of sexual harassment under the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013, shall be binding upon you but shall not form part of the internship contract.


§ 8. Confidentiality and Intellectual Property

8.1 During the course of your internship, you may have access to confidential information belonging to the Employer, including but not limited to trade secrets, business processes, client information, financial data, and other proprietary information.

8.3 All right, title and interest in and to any work product, inventions, designs, materials or intellectual property created or developed by you in the course of, or in connection with, the internship shall vest absolutely in the Employer, and you hereby assign all such rights to the Employer in accordance with the Copyright Act, 1957 and the Patents Act, 1970, as applicable.


§ 9. Personal Data

9.1 You consent to the collection, processing, storage and use by the Employer of your personal data for purposes connected with the internship, in accordance with the Digital Personal Data Protection Act, 2023 and the rules made thereunder.


§ 10. Termination

10.1 After the probationary period, either party may terminate the internship by providing written notice of ________ (________) business days (or payment of stipend in lieu of such notice) to the other party.

10.3 Upon termination or expiry of the internship for any reason, you shall forthwith return to the Employer all property, documents, records and confidential information in your possession or control.


§ 11. Governing Law and Dispute Resolution

11.1 This letter and the internship shall be governed by and construed in accordance with the laws of India.

11.2 Any dispute or difference arising out of or in connection with this letter shall be referred to and finally resolved by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be ________ and the language of arbitration shall be English.

11.3 Subject to sub-clause 11.2, the courts at ________ shall have exclusive jurisdiction.


§ 12. Acceptance

12.1 This Letter of Offer contains the proposed terms and conditions of your internship with the Employer and is subject to the preparation and execution of a formal Contract of Internship.
