AMENDMENT AGREEMENT
This Amendment Agreement (the "Agreement") is made and executed on on ________ ("Effective Date")
BY AND BETWEEN

Party 1 and Party 2 are hereinafter collectively referred to as "Parties"

WHEREAS:

NOW, THEREFORE, THIS AGREEMENT WITNESSES AND IT IS HEREBY AGREED TO BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:
Clause A: DEFINITIONS
1) Unless otherwise defined herein, capitalized terms used in this Agreement (including the Recitals) shall have the meaning assigned to them in the Original Agreement.
Clause B: AMENDMENTS TO THE ORIGINAL AGREEMENT
1) The Parties agree that immediately upon execution of this Agreement:

1) This Agreement shall terminate simultaneously with the termination of the Original Agreement.

4) The Parties represent and warrant that this Amendment Agreement constitutes a valid and binding obligation enforceable against each of them.
5) This Agreement shall be governed by and construed in accordance with the laws of India, and the courts at ________ shall have exclusive jurisdiction in respect of any dispute arising out of or in connection with this Agreement.

7) This Agreement may be executed in one or more counterparts, each of which shall be deemed to be an original and all of which together shall constitute one and the same instrument. No amendment or modification of this Agreement shall be valid or binding unless made in writing and duly executed by both Parties.
