§ 1. Purpose of This Notice. This letter constitutes formal written notice (this "Notice") that the Sender does not intend to renew, extend, or continue the contract identified below (the "Contract") beyond its current term, and that the Contract shall terminate upon the expiration of its present term in accordance with its terms.

§ 2. Identification of the Contract. This Notice relates to the following agreement:

§ 3. Current Expiration Date. The current term of the Contract is scheduled to expire on ________ (the "Expiration Date").

§ 4. Compliance with Notice Period. Under the terms of the Contract, written notice of non-renewal must be provided at least ________ prior to the Expiration Date. The Sender provides this Notice within, and in full compliance with, that required notice period. To the extent any provision of the Contract specifies a particular manner or address for the delivery of notices, this Notice is being given in accordance with such provision.

This Notice and the Contract to which it relates shall be governed by and construed in accordance with the laws of the State of ________, without regard to its conflict-of-laws principles, and any dispute arising hereunder shall be subject to the exclusive jurisdiction and venue specified in the Contract or, if none, the state and federal courts located in ________.
