LEASE RENEWAL AGREEMENT

RECITALS

This Lease Renewal Agreement (the "Renewal Agreement") is made and entered into effective as of ________ (the "Effective Date"), by and between ________, whose address is ________ (the "Landlord"), and ________, whose address is ________ (the "Tenant"). Landlord and Tenant are sometimes referred to individually as a "Party" and collectively as the "Parties."

WHEREAS, the Parties previously entered into a lease of the Premises described below and now desire to renew, extend, and amend such lease upon the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

§ I. PREMISES.

1. Tenant, in consideration of the lease payments to be made to the Landlord, leases from Landlord the real property and improvements located at the following address (the "Premises"):

§ II. ORIGINAL LEASE.

2. Landlord and Tenant entered into a written lease agreement for the Premises dated ________ (the "Original Lease"). The Original Lease expires on ________. A true and correct copy of the Original Lease, together with all prior amendments thereto, is incorporated herein by reference and attached hereto as Exhibit A.

3. The Parties desire at this time to further extend and amend the Original Lease as hereinafter set forth.

4. It is therefore mutually agreed that the Original Lease shall be extended and amended as provided in this Renewal Agreement.

§ III. RENEWAL TERM AND CONDITIONS.

5. The Parties hereby agree to extend the Original Lease for a term of ________ (the "Renewal Term"). The Renewal Term shall commence on ________ and shall end on ________, unless sooner terminated in accordance with the terms of the Original Lease or this Renewal Agreement.

6. During the Renewal Term, Tenant shall pay to Landlord rent in the amount of $________ (________) per month.

7. Rent shall be payable in advance, without demand, deduction, or set-off, on the ________ day of each calendar month, at the address designated by Landlord or by such other method as Landlord may direct in writing. No holiday, special event, or weekend shall excuse Tenant's obligation to pay Rent in a timely manner. Any Rent not received within ________ days after the due date shall be subject to a late charge of $________, to the extent permitted by applicable law.

8. The security deposit currently held by Landlord under the Original Lease, in the amount of $________, shall continue to be held by Landlord during the Renewal Term in accordance with the terms of the Original Lease and applicable law.

12. Severability. If any provision of this Renewal Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby, and such provision shall be deemed modified to the minimum extent necessary to make it enforceable.

13. Binding Effect. This Renewal Agreement shall be binding upon and inure to the benefit of the Parties and their respective heirs, executors, administrators, successors, and permitted assigns.

14. Notices. All notices required or permitted under this Renewal Agreement shall be in writing and shall be deemed duly given when delivered personally, sent by nationally recognized overnight courier, or sent by certified mail, return receipt requested, to the respective addresses of the Parties set forth above, or to such other address as a Party may designate in writing.

15. Counterparts. This Renewal Agreement may be executed in one or more counterparts, including by electronic or facsimile signature, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

16. Governing Law and Venue. This Renewal Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of ________, without regard to its conflict-of-laws principles. The Parties agree that any action arising out of or relating to this Renewal Agreement shall be brought exclusively in the state or federal courts located in ________ County, State of ________.
