Dear Sir/Madam,

LETTER OF INSTRUCTION AND AUTHORISATION

§ 1. Parties and Purpose

  1. I, ________ of ________ (hereinafter referred to as “the Principal”), being of full legal capacity, do hereby formally instruct, appoint and authorise ________ of ________ (hereinafter referred to as “the Authorised Person”) to act as my ________ in respect of the matters set out in this Letter.
  2. This authorisation is given freely, voluntarily and in good faith, and is intended to take effect in accordance with the laws of the Federal Republic of Nigeria.

§ 2. Scope of Authority and Instructions

  1. The Authorised Person is hereby empowered and directed to carry out the following acts, duties and instructions on my behalf:

  1. The Authorised Person shall act strictly within the scope of the authority conferred herein and shall not exceed, delegate or assign such authority without my prior written consent.
  2. The Authorised Person shall exercise the authority granted with due care, diligence, honesty and in the utmost good faith, and shall act at all times in my best interests and in accordance with all applicable laws and regulations in force in Nigeria.
  3. The Authorised Person shall keep proper records and shall render a full account to me of all acts done, sums received and expended, and decisions taken pursuant to this Letter, upon my request or at the conclusion of the appointment.

§ 3. Duration

  1. This authorisation shall be effective for the following period: ________, commencing on ________ and expiring on ________, unless earlier revoked in writing.
  2. I reserve the right to revoke this authorisation, in whole or in part, at any time by written notice to the Authorised Person, and such revocation shall take effect upon receipt of the said notice.

§ 4. Confidentiality and Data Protection

  2. The Authorised Person shall process any personal data obtained in the course of this engagement in strict compliance with the Nigeria Data Protection Act, 2023 and any subsidiary regulations made thereunder.

§ 5. Indemnity and Liability

  2. I shall not be liable for any unauthorised act, undertaking or commitment purportedly made by the Authorised Person outside the scope of this Letter.

§ 6. Governing Law and Dispute Resolution

  1. This Letter of Instruction and the authority conferred herein shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
  2. Any dispute arising out of or in connection with this Letter shall, where not amicably resolved, be referred to the appropriate court of competent jurisdiction sitting at ________.
