§1 — INTRODUCTION AND PURPOSE

1.1 This Conflict of Interest Policy (this "Policy") sets out the principles, standards, and procedures governing the identification, disclosure, and management of actual, potential, or perceived conflicts of interest involving employees of ________ (the "Company").

1.2 Employees are expected to promote honesty, integrity, and the highest standards of conduct in handling the affairs of the Company. Employees shall act in the best interest of the Company and shall not, in the course of their employment, prefer or pursue their personal interests over those of the Company.

1.4 While employees may engage in activities outside their employment that do not conflict with the business of the Company, the Company reserves the right to determine whether a conflict of interest exists and to take such measures as it considers necessary to address or resolve such conflict.

1.5 No employee shall permit their personal or financial interests to interfere with their fiduciary duty to the Company. Any employee who places personal interest above the legitimate interest of the Company shall be subject to disciplinary action in accordance with this Policy and the Company's terms of employment.


§2 — SCOPE AND APPLICATION

2.1 This Policy applies to all staff of ________, including full-time employees, part-time employees, regular, casual, or temporary staff, contract staff, and (where expressly stated in their engagement terms) consultants and agents of the Company. No employee is exempt from the application of this Policy.

2.2 This Policy shall be read together with the Company's contracts of employment, employee handbook, code of conduct, anti-bribery and corruption policy, and all other applicable internal policies. Where there is any inconsistency, the contract of employment and the requirements of applicable law, including the Labour Act, shall prevail.


§3 — CONDUCT GIVING RISE TO CONFLICTS OF INTEREST

3.1 A conflict of interest arises where an employee's actions, judgement, or decisions are, or may reasonably appear to be, influenced by personal gain, benefit, or interest. Employees shall avoid any transaction, dealing, or relationship that may prejudice their fiduciary duties or commitment to the Company.

3.2 Examples of conduct which may give rise to a conflict of interest include, but are not limited to, the following:

(I) holding a financial interest in, or deriving a potential gain from, any transaction of the Company;

(II) participating in the recruitment, promotion, appointment, or supervision of a close relative without disclosing such relationship to management;

(III) engaging in any transaction or activity that conflicts with the interests or objectives of the Company;

(IV) using, disclosing, or misappropriating the Company's confidential information, trade secrets, or personal data (processed in accordance with the Nigeria Data Protection Act 2023) for personal gain or for the benefit of a third party;

(V) operating, managing, or being otherwise involved in a business that competes directly or indirectly with the business of the Company;

(VI) soliciting or accepting any substantial monetary or other gift, gratification, commission, or advantage in connection with the Company's affairs, contrary to the Company's policies and the Corrupt Practices and Other Related Offences Act 2000, without disclosure to the Company;

(VII) other circumstances of potential conflict of interest, namely:

§4 — COMPLIANCE OBLIGATIONS

4.1 Employees shall perform their tasks and duties diligently and with due care. Where employees act as representatives or agents of the Company, they shall act honestly and uphold the ethical standards of the Company. In particular, employees shall:

(I) refrain from engaging or participating in any activity, transaction, or business that conflicts with the interests or objectives of the Company;

(II) not form partnerships or companies, nor participate in any business venture or activity, that competes directly or indirectly with the business of the Company;

(III) disclose any financial or other personal interest that conflicts, or may conflict, with the interest of the Company;

(IV) avoid involvement in any activity that conflicts with the Company's interests or purposes, and disclose any actual or potential conflict as soon as reasonably practicable;

(V) comply with all applicable laws, rules, and regulations, and with all policies regulating the conduct of the Company's business.

4.2 As representatives of ________, employees owe the Company a fiduciary duty of care and loyalty, and shall act for the benefit of the Company in all matters and transactions.

4.3 Employees shall disclose all actual or potential conflicts of interest, account for all profits or benefits improperly derived, and deal fairly with the Company in all transactions, acting in its best interests at all times.


§5 — PROCEDURE FOR HANDLING CONFLICTS OF INTEREST

5.1 Duty to Disclose

5.1.2 Disclosures shall be made in writing to ________ (the designated officer/department), and shall be treated in confidence to the extent permitted by law.

5.1.3 Where an employee wilfully fails or refuses to make a required disclosure, the Company shall take disciplinary action against such employee in accordance with §6.

5.2 Determination of Conflicts of Interest

5.2.1 Following disclosure, the Company shall determine whether a conflict of interest exists, having regard to all material facts and documents, and shall notify the affected employee of its determination.

5.3 Procedure and Management

5.3.1 Where an actual conflict of interest is disclosed, management shall conduct an enquiry to determine the existence and extent of the conflict. The employee shall be given a fair opportunity to be heard before any decision affecting them is taken.

5.3.2 Upon determination, management shall issue directives on how the conflict is to be managed, mitigated, or eliminated, which may include the employee withdrawing from the relevant matter, divesting the relevant interest, or such other measures as the Company considers appropriate.


§6 — DISCIPLINE FOR NON-COMPLIANCE

6.1 Any employee who fails to comply with this Policy may be required to pay a fine of ₦________ (________) as a penalty for the violation, provided that any deduction from an employee's wages shall be effected only in accordance with the Labour Act and the employee's contract of employment.

6.2 Without prejudice to §6.1, and following a fair disciplinary process, the Company may take such further disciplinary action against the employee as it considers appropriate, including a written warning, suspension, demotion, or termination of employment in accordance with the employee's contract of employment and applicable law.


§7 — ENQUIRIES AND COMPLAINTS

7.1 Any employee who wishes to make a formal complaint concerning this Policy, or to challenge its application, shall report the matter in the following manner:

7.2 The Company shall ensure that no employee suffers victimisation, retaliation, or detriment for making a complaint or disclosure in good faith under this Policy.


§8 — GENERAL PROVISIONS

8.1 This Policy is intended to serve as a guide for employees of the Company and does not, of itself, create any contractual obligation between the Company and any employee. Nothing in this Policy shall be construed as a contract of employment or as a guarantee of continued employment.

8.2 The Company reserves the right to review, modify, amend, supplement, or revoke this Policy, in whole or in part, at any time and at its sole discretion. Any such changes shall be communicated to employees and shall take effect from the date of such communication.

8.3 If any provision of this Policy is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed and the remaining provisions shall continue in full force and effect.

8.4 This Policy shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, and any dispute arising from or in connection with this Policy shall be subject to the exclusive jurisdiction of the competent courts at ________.
