CAREGIVER AGREEMENT
THIS CAREGIVER AGREEMENT is made on ________ between ________, of the following address:

Hereinafter referred to as (the "Caregiver" which expression shall where the context so admits include its successors-in-title and assigns);
AND

Hereinafter referred to as (the "Client" which expression shall where the context so admits include its successors-in-title and assigns);
BACKGROUND
The Client has contracted the Caregiver to care for and provide Caregiving Services (particularly described in this Agreement), to the Client.
The Caregiver possesses the required skills for the providing the Caregiving Services and has agreed to provide the Caregiving Services to the Client in accordance with the terms of this Agreement.
Therefore, in consideration of the fees, promises, covenants, and other valuable consideration, the receipt of which is hereby acknowledged, the Parties do hereby agree as follows:
1. CAREGIVING SERVICES
The Caregiver has been contracted to care for the Client in specific manner described in this Agreement. In accordance with this Agreement, the Caregiver shall provide the following specific services (the "Caregiving Services"):
- Prepare the Client's meals, including snacks and juices as required by the Client, while adhering to the Client's dietary needs
- Cleaning the Client's home, providing laundry services, and ensure the proper organization of the Client's home
- Going on errands for the Client
- Taking the client for hospital appointments and medical checkups, assisting the Client to take their medication, and monitoring the Client's health and safety
- Providing companionship to the Client when required, including but not limited to accompanying the Client on outings and other outdoor activities
- Managing the finances of the Client
2. DUTIES AND OBLIGATIONS OF CAREGIVER
The specific duties of the Caregiver includes the following:

3. DUTIES OF THE CLIENT
Client undertakes to perform the following obligations:
(I) to pay the Caregiver's compensation, out of pocket expenses and all other fees required under this Agreement;
(II) to provide all documents, materials, and information necessary for the performance of the Caregiving Services required under this Agreement;
(III) to do all that the Client is required to do to ensure a smooth performance of the Caregiving Services.
4. TERM AND TERMINATION
The Caregiver is contracted to provide the Caregiving Services for ________. This Agreement shall commence on the Effective Date and shall end on ________. This term will be renewed automatically for an additional term as agreed by the Caregiver and the Client.
5. NO EMPLOYMENT
The Caregiver agrees that the Caregiver is not hired as an employee. The Caregiver is employed as an independent contractor, and is not entitled to bonuses, insurance and pension plan, and other employment benefits. The Caregiver is solely responsible for filing for its own tax.

The Caregiver shall provide the Caregiving Services from the following location (the "Location"):

The Parties are free to modify the work schedule with the consent of the other Party.
8. FEES
As compensation for all the services rendered by the Caregiver under this Agreement, the Caregiver is entitled to the sum of ₦________ (________) every month (the "Fee").
Payment will be made in cash.
The Caregiver shall be entitled to be reimbursed of all incidental and out-of-pocket expenses reasonably incurred on behalf of the Client, provided that same have been authorized by the Client prior to being incurred and with the provisions of appropriate receipts.
9. HOUSING AND MEALS
Since this is a live-in position, the Caregiver will be required to live at the Location to enable the Caregiver provide the Caregiving Services more efficiently. The accommodation and meals come with no additional cost. However, this may be a major factor in deciding the Caregiver's Fee.
10. TRANSPORTATION
The Caregiver will be provided a vehicle to provide the Caregiving Services and all expenses related to the Caregiver's transportation during this Contract shall be paid by the Client.
11. CONFIDENTIALITY
The Caregiver further agrees that the Confidential Information shall be used solely for the purpose of performing the Caregiving Services under this Agreement and for no other purpose whatsoever.
The obligations of confidentiality contained in this clause shall survive the termination or expiration of this Agreement.
GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
In the event of any dispute, controversy, or claim arising out of or in connection with this Agreement, the Parties shall first endeavour to resolve same amicably through mutual negotiation and dialogue.
Where the dispute cannot be resolved amicably within a reasonable time, the Parties agree to refer the dispute to mediation, and failing resolution, the matter shall be submitted to the courts of competent jurisdiction in Nigeria.
12. MISCELLANEOUS
(I) Variation: This Agreement may be amended or varied by either of the Parties, and such variation must be agreed to and signed by the Parties to this Agreement. No delay or omission to exercise any right under this Agreement shall be construed as a waiver.
(II) Notices: All notices under this Agreement may be given orally or in writing. The notices shall either be delivered personally or mailed by a certified mail to the other Party's address or that other Party's attorney.
(III) Headings: Headings in this Agreement are used for convenience ony and shall not be construed to limit or affect the terms of this Agreement.
(IV) Counterparts: This Agreement many be executed in counterparts, all of which constitutes one Agreement.
(V) Entire Agreement: This Agreement and any other agreement described as an addendum to this Agreement constitutes the entire agreement between the Parties and supersedes any prior contrary written or oral agreement made between them.
(VI) Assignment: No Party shall assign any of its obligation or duties under this Agreement, without the prior written consent of the other Party.
(VII) Enurement: This Agreement will enure the benefit of and be binding on the Parties and their respective heirs, executors, administrators and permitted successors and assigns.
(VIII) Cumulative Rights: The rights of the Parties in this Agreement are cumulative and shall not be construed as exclusive except as otherwise stated by the law.
(IX) Waivers: Any term or provision of this Agreement may be waived in writing at any time by the Party entitled to such benefit. No delay, omission to exercise any right shall not be construed as waiver.
(X) Severability: If any part of this Agreement is held unenforceable, the remainder of this Agreement shall continue to be in force and have effect.
(XI) Further Assurance: The Parties shall execute and deliver all such documents and take all such actions and all steps to procure the performance of all such acts as may be necessary or incidental to give effect to the provisions of this Agreement.
