Re: Offer of Campus Ambassadorship
We are pleased to offer you the position of Campus Ambassador ("Ambassador") at ________ (the "Organization"). In this role, you will represent the Organization's brand and promote its products and services to your peers and faculty members at the following institution: ________ (the "Institution").
The Ambassadorship shall commence on ________ (the "Commencement Date") and, unless terminated earlier in accordance with the terms hereof, shall continue until ________ (the "Term").
Please read this Offer Letter carefully and indicate your acceptance by signing and returning a copy hereof.
§ 1. Your Position and Duties
1.1 You are offered the role of Campus Ambassador on the terms and conditions set out in this Offer Letter.
1.2 In addition to such duties as may be reasonably assigned by the Organization from time to time, your role shall involve the following duties:

1.3 You shall at all times discharge your duties diligently, in good faith and in compliance with all applicable laws, the rules and regulations of the Institution, and the lawful directions and policies of the Organization.
1.4 You shall not, in the course of performing your duties, make any representation, warranty, promise or commitment on behalf of the Organization save as expressly authorised in writing by the Organization.
§ 2. Time Commitment
2.1 You are expected to devote approximately ________ (________) hours per week to your duties as Ambassador, on a flexible basis that does not interfere with your academic obligations.
2.2 You shall not be entitled to receive any additional remuneration for work performed beyond the hours referred to in sub-clause 2.1 above.
§ 3. Stipend and Benefits
3.1 In consideration of the satisfactory performance of your duties, the Organization shall pay you a consolidated stipend of Rs. ________ (Rupees ________ only) for the Term.
3.2 The said stipend shall be paid on the following basis:

3.3 The stipend shall be paid by way of Internet Banking to the following bank account nominated by you:

3.4 The stipend is exclusive of, and subject to, deduction of tax at source (TDS) and all other deductions as required under the Income-tax Act, 1961 and any other applicable law. You shall be solely responsible for discharging your own tax liabilities arising from the stipend.
3.5 Any benefits described herein are discretionary and do not constitute wages, salary or any statutory benefit, and the Organization reserves the right to vary or withdraw the same at its discretion.
§ 4. Organization Policies
4.1 You agree to be bound by the policies, codes of conduct and guidelines of the Organization, as amended or replaced from time to time, including those relating to anti-bribery, anti-harassment and acceptable use of brand assets, provided that such policies shall not form part of the Campus Ambassador Agreement.
§ 5. Confidentiality, Intellectual Property and Data Protection
5.2 All intellectual property, content, materials, documents and information created, developed or contributed by you in the course of your duties as Ambassador shall vest absolutely in and be the sole property of the Organization, and you hereby assign to the Organization all rights, title and interest therein in accordance with the Copyright Act, 1957 and the Patents Act, 1970, as applicable.
5.3 You shall comply with the Digital Personal Data Protection Act, 2023 and any rules made thereunder in respect of any personal data accessed or processed by you in connection with your duties, and shall not collect, store, use or disclose such data except as expressly authorised by the Organization.
5.4 The obligations under this § 5 shall survive the expiry or termination of this Offer Letter and any Campus Ambassador Agreement.
§ 6. Termination
6.1 During the Term, either party may terminate the Ambassadorship by giving the other party prior written notice of ________ (________) business days (or, at the Organization's option, payment of stipend in lieu of such notice).
6.2 Notwithstanding sub-clause 6.1, the Organization may terminate this engagement with immediate effect and without any payment (save for stipend accrued up to the date of termination) where you: (a) commit any act of wilful or serious misconduct; (b) significantly neglect or fail to perform your duties; (c) breach any term of this Offer Letter, any Campus Ambassador Agreement or any policy of the Organization; or (d) bring the Organization or the Institution into disrepute.
6.3 Upon termination or expiry, you shall forthwith cease to represent the Organization, return all property, materials and confidential information of the Organization, and cease all use of its brand, name, logos and marks.
§ 7. Governing Law and Dispute Resolution
7.1 This Offer Letter and any Campus Ambassador Agreement shall be governed by and construed in accordance with the laws of India.
7.2 Any dispute, controversy or claim arising out of or in connection herewith shall be referred to and finally resolved by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be ________ and the language of arbitration shall be English. Subject to arbitration, the courts at ________ shall have exclusive jurisdiction.
§ 8. Acceptance
8.1 This Offer Letter contains the proposed terms and conditions of your Ambassadorship with the Organization and is subject to, and conditional upon, the preparation and execution of a formal Campus Ambassador Agreement.
8.2 This Offer Letter constitutes the entire understanding between the parties in relation to its subject matter and supersedes all prior discussions and representations. No variation shall be effective unless made in writing and signed by both parties.
8.3 If you wish to accept this offer, kindly signify your acceptance by signing and returning a copy of this Offer Letter on or before ________.
