OFF-ROAD VEHICLE BILL OF SALE

(each a “Party” and together the “Parties”).

RECITALS

WHEREAS the Seller is the sole legal and beneficial owner of, and is rightfully possessed of, the off-road dirt bike described in Section 1 (the “Vehicle”);

AND WHEREAS the Seller has agreed to sell, assign, and transfer the Vehicle to the Buyer, and the Buyer has agreed to purchase the Vehicle, on the terms and conditions set out in this Bill of Sale and for the consideration described herein;

NOW THEREFORE in consideration of the mutual covenants and agreements set out herein, and the payment of the Purchase Price, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DESCRIPTION OF THE VEHICLE

The Seller hereby sells, assigns, and transfers to the Buyer the following off-road vehicle:

The Vehicle is sold together with all keys, accessories, and documents listed in Section 6, but excludes any aftermarket items not expressly included therein.

2. PURCHASE PRICE AND PAYMENT

2.1 The total purchase price for the Vehicle is $________ (________ dollars) (the “Purchase Price”).

2.2 The Buyer shall pay the Purchase Price by the following method: ________, payable in full on or before ________.

2.3 The Buyer shall be solely responsible for, and shall pay, all applicable federal and provincial sales taxes (including the Harmonized Sales Tax, where applicable) and any registration, transfer, or licensing fees arising from or in connection with the transfer of ownership of the Vehicle.

2.4 The Seller acknowledges receipt of the sum of $________ as a deposit toward the Purchase Price, where applicable, with the balance due as set out above.

3. DELIVERY

3.1 The Seller shall deliver possession of the Vehicle to the Buyer at ________ on ________.

3.2 The cost and arrangements for delivery or pick-up shall be borne as follows: ________.

4. SELLER’S REPRESENTATIONS

4.1 The Seller represents and warrants that, as at the date of this Bill of Sale:

(a) the Seller is the sole legal and beneficial owner of the Vehicle;

(b) the Seller has good and marketable title to the Vehicle and the right to sell it;

(c) the Vehicle is free and clear of all liens, charges, security interests, and encumbrances, including any interest registered under the applicable Personal Property Security Act of the Province set out in Section 8; and

(d) there are no outstanding loans, leases, or other financial obligations attached to the Vehicle.

5. CONDITION AND DISCLAIMER OF WARRANTIES

5.1 Except for the representations expressly set out in Section 4, the Vehicle is sold on an “as is, where is” basis, with all faults.

5.4 Any defect, deficiency, or condition discovered after completion of the sale shall be the sole responsibility of the Buyer.

5.5 The Buyer acknowledges and agrees that the Seller has made no representations, promises, or warranties of any kind regarding the Vehicle other than those expressly set out in this Bill of Sale, and that no oral statements or representations form part of this agreement.

6. INCLUDED ITEMS AND DOCUMENTS

The following items and documents are included in the sale and shall be delivered to the Buyer on completion: ________.

7. TRANSFER OF TITLE AND RISK

7.1 Title to and ownership of the Vehicle shall pass from the Seller to the Buyer upon the Seller’s receipt of the Purchase Price in full and delivery of the Vehicle to the Buyer, whichever occurs later.

7.2 The Buyer assumes all risk of loss or damage to the Vehicle from the time that title and possession pass to the Buyer, and shall be responsible for obtaining any insurance, registration, and licensing required for the lawful operation or storage of the Vehicle thereafter.

8. GENERAL PROVISIONS

8.1 Governing Law. This Bill of Sale shall be governed by and construed in accordance with the laws of the Province of ________ and the federal laws of Canada applicable therein, and the Parties attorn to the exclusive jurisdiction of the courts of that Province.

8.2 Entire Agreement. This Bill of Sale constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements, whether written or oral.

8.3 Severability. If any provision of this Bill of Sale is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

8.4 Amendment and Waiver. No amendment or waiver of any provision of this Bill of Sale is effective unless made in writing and signed by both Parties.

8.5 Enurement. This Bill of Sale enures to the benefit of and is binding upon the Parties and their respective heirs, executors, administrators, successors, and permitted assigns.

8.6 Counterparts. This Bill of Sale may be executed in counterparts and delivered electronically, each of which is deemed an original and all of which together constitute one and the same instrument.
