§ 1. Purpose of This Notice. This letter constitutes formal written notice (this "Notice") that the Sender does not intend to renew, extend, or continue the contract identified below (the "Contract") beyond its current term, and that the Contract shall terminate upon the expiration of its present term in accordance with its terms.
§ 2. Identification of the Contract. This Notice relates to the following agreement:

§ 3. Current Expiration Date. The current term of the Contract is scheduled to expire on ________ (the "Expiration Date").
§ 4. Compliance with Notice Period. Under the terms of the Contract, written notice of non-renewal must be provided at least ________ prior to the Expiration Date. The Sender provides this Notice within, and in full compliance with, that required notice period. To the extent any provision of the Contract specifies a particular manner or address for the delivery of notices, this Notice is being given in accordance with such provision.
§ 5. Non-Renewal and Termination. Please be advised that the Contract will not be renewed or extended for any successive or additional term. The Contract shall terminate, and the rights and obligations of the parties thereunder shall cease (except as provided in § 6 below), effective as of the close of business on the Expiration Date of ________ (the "Termination Date"). This Notice is intended solely to prevent automatic renewal or extension and does not constitute a termination for cause, breach, or default by either party.
§ 7. Return of Property; Final Accounting. On or before the Termination Date, each party shall return or, at the disclosing party's option, destroy any property, confidential information, or materials belonging to the other party, and the parties shall cooperate in good faith to reconcile and settle any outstanding amounts due under the Contract by ________.
§ 8. No Waiver; Reservation of Rights. The delivery of this Notice shall not constitute a waiver of, and the Sender expressly reserves, all rights, remedies, claims, and defenses available to it under the Contract, at law, or in equity. No failure or delay in exercising any right shall operate as a waiver thereof.
§ 9. Governing Law. This Notice and the Contract to which it relates shall be governed by and construed in accordance with the laws of the State of ________, without regard to its conflict-of-laws principles, and any dispute arising hereunder shall be subject to the exclusive jurisdiction and venue specified in the Contract or, if none, the state and federal courts located in ________.
§ 10. Entire Notice. This Notice sets forth the complete and final expression of the Sender's intent not to renew the Contract and supersedes any prior oral or written communications regarding the same subject matter.
