§ 1. Purpose of This Notice. This letter constitutes formal written notice (this "Notice") that the Sender does not intend to renew, extend, or continue the contract identified below (the "Contract") beyond its current term, and that the Contract shall terminate upon the expiration of its present term in accordance with its terms.

§ 3. Current Expiration Date. The current term of the Contract is scheduled to expire on ________ (the "Expiration Date").
§ 4. Compliance with Notice Period. Under the terms of the Contract, written notice of non-renewal must be provided at least ________ prior to the Expiration Date. The Sender provides this Notice within, and in full compliance with, that required notice period. § 7. Return of Property; Final Accounting. On or before the Termination Date, each party shall return or, at the disclosing party's option, destroy any property, confidential information, or materials belonging to the other party, and the parties shall cooperate in good faith to reconcile and settle any outstanding amounts due under the Contract by ________.
§ 8. No Waiver; Reservation of Rights. The delivery of this Notice shall not constitute a waiver of, and the Sender expressly reserves, all rights, remedies, claims, and defenses available to it under the Contract, at law, or in equity. No failure or delay in exercising any right shall operate as a waiver thereof.
