RE: NOTICE OF NON-RENEWAL OF FIXED-TERM CONTRACT OF EMPLOYMENT
§ 1. Introduction. This letter is issued by ________ (the “Company”), a company duly incorporated under the Companies and Allied Matters Act 2020 with registration number RC ________ and registered office at ________, in respect of your contract of employment.
§ 2. The Contract. You entered into a written contract of employment with the Company dated ________ (the “Contract”), pursuant to which you were engaged in the position of ________ for a fixed term of ________. The current term of the Contract is due to expire on ________ (the “Expiry Date”).
§ 3. Notice of Non-Renewal.
3.1. The Contract provides that, unless a notice of non-renewal is given in accordance with its terms, the Contract shall renew automatically for a further term.
3.2. In exercise of the Company’s right under the Contract and in accordance with the Labour Act (Cap. L1, Laws of the Federation of Nigeria 2004) and the terms of your engagement, the Company hereby gives you formal notice that your Contract shall not be renewed upon the Expiry Date.
3.3. This notice is given not less than ________ prior to the Expiry Date, being the period of notice required under Clause ________ of the Contract and as prescribed by the Labour Act.
§ 4. Effect of Non-Renewal. Your employment with the Company shall determine by effluxion of time upon the Expiry Date and the Contract shall not be renewed or extended for any further term. Your last day of active service shall be ________.
§ 5. Final Entitlements.
5.1. All wages, salaries and accrued entitlements lawfully due to you up to and including the Expiry Date shall be computed and paid in accordance with the Contract, the Labour Act and any other applicable law.
5.2. The Company shall deduct from your final entitlements all sums lawfully deductible, including statutory deductions for Pay-As-You-Earn tax under the Personal Income Tax Act, pension contributions under the Pension Reform Act 2014, and any other authorised deductions.
5.3. Payment of your final entitlements shall be made on or before ________ to the account details on record, or as may otherwise be agreed in writing.
§ 8. Confidentiality and Data Protection. Any personal data of yours held by the Company shall continue to be processed and retained strictly in accordance with the Nigeria Data Protection Act 2023 and the Company’s data protection policy.
§ 9. References to Statutory Rights. Nothing in this notice shall be construed as a waiver of, or as derogating from, any right or entitlement conferred on you by the Labour Act or any other applicable law of the Federal Republic of Nigeria.
§ 10. Governing Law. This notice and the Contract shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, and any dispute arising therefrom shall be subject to the jurisdiction of the National Industrial Court of Nigeria.
