RE: LANDLORD'S CONSENT TO SUBLET DEMISED PREMISES

I refer to the Lease Agreement dated ________ made between myself ("the Landlord") and yourself ("the Tenant") in respect of the property described below ("the Demised Premises"), and to your written request dated ________ seeking my consent to sublet the same.

§1. Grant of Consent

1.1. Pursuant to the covenant against subletting contained in the said Lease Agreement, and in accordance with the principles of property law applicable in Nigeria including the relevant provisions of the Conveyancing Act 1881, the Property and Conveyancing Law (where applicable), and the Tenancy Law of ________, I, the Landlord, hereby grant my consent to you, the Tenant, to sublet the whole of the Demised Premises to ________, of ________ ("the Subtenant").

1.2. The Demised Premises are described as follows:

1.3. This consent is subject to the terms and conditions set out in this letter and to the execution of a Sublease Agreement in terms acceptable to me.

§2. Conditions of Consent

2.1. The duration of the sublease shall not exceed the unexpired residue of the term granted under the Lease Agreement, less at least one day, and shall in no event extend beyond ________.

2.2. The Sublease Agreement shall not, in any way, alter, vary or derogate from the terms and covenants of the existing Lease Agreement, and shall be made expressly subject to the said Lease.

2.3. You, the Tenant, shall continue to be bound by and remain primarily liable to the Landlord for the performance and observance of all covenants, conditions and obligations contained in the Lease Agreement, including the payment of rent in the sum of ________, notwithstanding the grant of this consent or the subletting.

2.4. You shall remain responsible and answerable to the Landlord for the acts, omissions, defaults and conduct of the Subtenant throughout the duration of the sublease.

2.5. The Subtenant shall use the Demised Premises only for the purpose of ________ and for no other purpose without my prior written consent.

§3. Effect of Breach

3.2. The determination of the head Lease for any reason shall operate to determine the sublease, without prejudice to any accrued rights of the Landlord.

§4. Limitation of Consent

4.2. No relaxation, indulgence or forbearance granted by me shall constitute a waiver of any of my rights under the Lease Agreement.
