RE: CEASE AND DESIST — DEMAND FOR THE IMMEDIATE TERMINATION OF UNLAWFUL CONDUCT

§1. We act as Solicitors to and on the instructions of our client, ________ of ________ (“our Client”), at whose express authority and instruction this letter is written. Where this letter is issued by the aggrieved party in person, the references to “our Client” shall be read as references to the sender personally.

§2. Our Client has brought to our attention a pattern of conduct attributable to you which commenced on or about ________ and which has persisted to date. By this letter, you are formally and unequivocally required to CEASE AND DESIST forthwith from the following acts directed at our Client:

§4. As a direct and foreseeable consequence of your conduct, our Client has suffered the following loss, injury, damage and/or prejudice:

§5. DEMAND. You are hereby required and demanded to:

(a) immediately and permanently cease and desist from each and all of the acts set out in §2 above;
(b) refrain from any further act, repetition or continuation thereof, whether directly or through any agent, privy, servant or representative;
(c) deliver up, destroy or return any property, document, data or material belonging to our Client and unlawfully in your possession or control, particularly: ________;
(d) furnish our Client with a written undertaking, duly executed, to comply with the foregoing demands; and
(e) make good the loss and damage occasioned to our Client in the sum of ________, or such other sum as may be agreed or determined.

§6. TIME FOR COMPLIANCE. You are required to comply fully with the demands in §5 within ________ days of receipt of this letter (the “Compliance Period”).

§7. CONSEQUENCES OF NON-COMPLIANCE. TAKE NOTICE that should you fail, refuse or neglect to comply with the demands herein within the Compliance Period, our Client shall, without any further notice or reference to you, take all such steps as may be lawful and expedient to enforce and protect its rights, including the institution of civil and/or criminal proceedings before a court of competent jurisdiction in ________ to seek all available reliefs and remedies, including but not limited to interlocutory and perpetual injunctions, general, special, aggravated and exemplary damages, an order for account and delivery up, and the full costs of the litigation, including solicitor’s fees, on a full indemnity basis.

§9. Nothing in this letter shall be construed as a waiver, release, abandonment or limitation of any of our Client’s rights, remedies, causes of action or defences, whether at law, in equity or under statute, all of which are expressly and fully reserved.

§10. We trust that the foregoing is sufficiently clear and that you will govern yourself accordingly to avoid the consequences set out herein. Kindly direct all correspondence in respect of this matter to the undersigned.
