RE: OFFER OF EMPLOYMENT

Further to your application and the interviews conducted, we are pleased to offer you employment in the position of ________ at ________ ("the Employer" or "the Company"), upon the terms and conditions set out in this letter. This offer is made in accordance with the Labour Act, Cap L1, Laws of the Federation of Nigeria 2004 and other applicable laws.

§1. COMMENCEMENT AND POSITION

1.1. Your employment shall commence on ________ (the "Commencement Date").

1.2. You are offered the full-time position of ________, reporting to ________.

1.3. In addition to such other duties as may reasonably be assigned to you from time to time, your principal duties shall be:

1.4. You shall at all times carry out your duties faithfully, diligently and to the best of your ability, and shall comply with all lawful and reasonable directions and the policies of the Company.

§2. WORK LOCATION AND SCHEDULE

2.1. This is an in-person role and you are required to work at the following location (or such other location as the Company may reasonably designate):

2.3. You may, from time to time, be required to work on weekends or on public holidays declared by the Federal Government of Nigeria, having regard to the operational needs of the Company and the provisions of the Labour Act.

§3. REMUNERATION

3.1. Your remuneration shall be the sum of ₦________ (________) per ________, payable in arrears into your designated bank account.

3.2. Your remuneration shall be subject to all statutory deductions, including without limitation Pay-As-You-Earn (PAYE) tax under the Personal Income Tax Act, pension contributions under the Pension Reform Act 2014, and contributions under the National Housing Fund Act and the Employee Compensation Act 2010, where applicable.

3.3. You may, at the sole and absolute discretion of the Employer, be entitled to the following bonus:

§4. EXCLUSIVITY OF SERVICE

4.1. You shall devote your full time, attention and skill to the business of the Company during your hours of work.

4.2. You shall not, during the subsistence of your employment, engage directly or indirectly in any other paid employment, business, trade or profession without the prior written consent of the Company.

§5. PROBATIONARY PERIOD

5.1. Your employment shall be subject to a probationary period of ________ commencing from the Commencement Date, during which your performance and suitability for the position shall be assessed.

5.2. During the probationary period, either party may terminate the employment by giving ________ notice in writing, or payment in lieu of such notice.

5.3. Upon satisfactory completion of the probationary period, your appointment shall be confirmed in writing. The Company may, at its discretion, extend the probationary period by written notice.

§6. ANNUAL LEAVE AND OTHER STATUTORY ENTITLEMENTS

6.1. You shall be entitled to ________ working days of paid annual leave in each completed year of service, in accordance with the Labour Act and Company policy.

6.2. You shall be entitled to sick leave, maternity/paternity leave and other statutory leave entitlements in accordance with applicable Nigerian law and the Company's policies as may be in force from time to time.

§7. TERMINATION

7.1. Following confirmation of your employment, either party may terminate this employment by giving ________ notice in writing, or payment in lieu of such notice.

7.3. Upon termination of your employment for any reason, you shall immediately return to the Company all property, documents, records, equipment and confidential materials belonging to the Company or relating to its business, and shall not retain any copies thereof.

§8. CONFIDENTIAL INFORMATION

8.1. Your position gives you access to confidential information and materials of the Company.

(i) can be established by written records to be already known to you or to the public at the time of disclosure;

(ii) enters the public domain through no fault of yours;

(iii) is given by the Company to third parties without any restrictions;

(iv) is given to you by a third party lawfully in possession of such information and having the legal right to disclose it; or

(v) is required by law, regulation or order of a court of competent jurisdiction to be disclosed.

8.3. You shall not, during your employment or at any time after its termination, disclose or use any confidential information or intellectual property of the Company otherwise than in the proper performance of your duties.

8.4. In handling any personal data in the course of your employment, you shall comply with the Nigeria Data Protection Act 2023 and the Company's data protection policies.

8.5. All intellectual property created by you in the course of your employment shall vest absolutely in the Company.

§9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1. This offer and your employment shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

9.2. Any dispute arising out of or in connection with your employment shall, where not amicably resolved, be referred to the National Industrial Court of Nigeria sitting at ________, which shall have exclusive jurisdiction.

§10. ACCEPTANCE

10.1. If the above terms and conditions are acceptable to you, kindly indicate your acceptance by executing the duplicate copy of this letter and returning same to the Company on or before ________.

10.2. Your employment shall further be governed by the terms and conditions of the formal contract of employment, the Employee Handbook, and other policies of the Company as may be in force from time to time.
