(the Seller and the Buyer being together referred to as the "Parties" and each individually as a "Party").

RECITALS

WHEREAS the Seller is lawfully possessed of, and has good and marketable title to, the motor vehicle described herein (the "Vehicle");

AND WHEREAS the Seller has agreed to sell, assign, and transfer the Vehicle to the Buyer, and the Buyer has agreed to purchase the same, for the consideration and on the terms and conditions set out in this Bill of Sale;

NOW THEREFORE in consideration of the mutual covenants and agreements contained herein and the consideration set out below, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

§ 1. SALE OF THE VEHICLE

§ 1.1 The Seller hereby sells, assigns, transfers, and conveys to the Buyer all of the Seller's right, title, and interest in and to the Vehicle described below, and the Buyer hereby purchases the same, on the terms set out in this Bill of Sale.

§ 1.2 The Vehicle being sold is more particularly described as follows:

§ 1.3 The Vehicle's current licence plate number (if any) is ________.

§ 2. PURCHASE PRICE AND PAYMENT

§ 2.1 The total purchase price for the Vehicle is $________ (________) (the "Purchase Price").

§ 2.2 The Purchase Price shall be paid by the Buyer to the Seller by ________ on or before ________.

§ 2.3 The Seller acknowledges receipt of a deposit in the amount of $________, which shall be credited against the Purchase Price, with the balance of $________ payable as set out in § 2.2.

§ 2.4 The Buyer shall be responsible for all applicable retail sales tax, harmonized sales tax (HST), goods and services tax (GST), registration fees, and other government charges arising in connection with the transfer of ownership and registration of the Vehicle.

§ 3. TRANSFER OF TITLE, POSSESSION, AND DELIVERY

§ 3.1 Title to and ownership of the Vehicle shall pass to the Buyer upon execution of this Bill of Sale by both Parties and receipt by the Seller of the Purchase Price in full.

§ 3.2 The Seller shall deliver possession of the Vehicle to the Buyer at ________ on ________, together with the keys, owner's permit / vehicle portion of the registration, and all documents required to effect transfer of ownership.

§ 3.3 The Buyer is solely responsible, at the Buyer's expense, for registering the Vehicle, obtaining and affixing licence plates, obtaining a Safety Standards Certificate (or its equivalent in the applicable jurisdiction) where required, and arranging insurance prior to operating the Vehicle. The Buyer assumes all risk and liability arising from the operation, registration, or use of the Vehicle from and after delivery.

§ 4. CONDITION OF THE VEHICLE; "AS IS, WHERE IS"

§ 4.2 The Vehicle is not represented as being in roadworthy condition and may require substantial repairs, at the Buyer's sole expense, to be made fit for use.

§ 4.4 The odometer reading set out in § 1.2 is, to the best of the Seller's knowledge, accurate and reflects the actual distance the Vehicle has travelled, except as follows: ________.

§ 5. SELLER'S TITLE WARRANTY

§ 5.1 The Seller represents and warrants that, at the time of sale, the Vehicle is free and clear of all liens, charges, encumbrances, mortgages, security interests, and adverse claims of any kind, that the Seller has good and marketable title to the Vehicle, and that the Seller has full right, power, and lawful authority to sell, assign, and transfer the Vehicle to the Buyer.

§ 5.2 The Seller shall indemnify and hold the Buyer harmless from and against any loss, claim, or demand arising from any breach of the warranty in § 5.1.

§ 5.3 The warranties in this § 5 shall survive the closing of this transaction.

§ 6. GENERAL PROVISIONS

§ 6.1 Entire Agreement. This Bill of Sale constitutes the entire agreement between the Parties with respect to the sale of the Vehicle and supersedes all prior negotiations, representations, and agreements, whether oral or written.

§ 6.2 Successors and Assigns. This Bill of Sale shall enure to the benefit of and be binding upon the Parties and their respective heirs, executors, administrators, successors, and permitted assigns.

§ 6.3 Severability. If any provision of this Bill of Sale is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

§ 6.4 Amendment. No amendment to this Bill of Sale shall be effective unless made in writing and signed by both Parties.

§ 6.5 Governing Law. This Bill of Sale shall be governed by and construed in accordance with the laws of the Province of ________ and the federal laws of Canada applicable therein, and the Parties irrevocably attorn to the exclusive jurisdiction of the courts of that Province.

§ 6.6 Counterparts. This Bill of Sale may be executed in counterparts and by electronic signature, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
