BACKGROUND:
A. This Remote Work Policy (the "Policy") is made effective as of ________ (the "Effective Date") by and applicable to ________, a company organized under the laws of the State of ________, with its principal place of business located at ________ (the "Employer").
B. This Policy outlines the terms, conditions, procedures, and expectations for employees who are permitted to work remotely (each, an "Employee" and collectively, the "Employees").
C. This Policy includes details concerning who may work remotely, remote work schedules, best practices, and the job responsibilities applicable to Employees who work remotely.
D. This Policy is intended to operate as a guideline and statement of expectations. It does not constitute a contract of employment, nor does it alter the at-will nature of employment where applicable. Any existing written employment agreement shall control in the event of any conflict with this Policy.
By acknowledging this document, an Employee agrees to comply with the following terms:
§ I. SCOPE.

13. Employees shall be available and reachable during their established working hours and shall respond to communications from Employer in a timely and professional manner.
14. Employees shall maintain the same level of productivity, professionalism, and quality of work while working remotely as would be expected when working at Employer's primary business location.
15. Employees shall perform all duties required by their position to the best of their skill, ability, and experience, and shall execute the position faithfully and in compliance with Employer's instructions, howsoever provided.
16. Employees shall communicate and check in with their supervisor on an as-needed basis in the following manner:

§ V. COMPANY-PROVIDED EQUIPMENT.

19. To effectively perform their assigned tasks, Employees may use Employer's equipment remotely with the approval of Employer. Such equipment must be protected against damage and unauthorized use.
20. Company-provided equipment shall be serviced and maintained by Employer. Employees shall be responsible for the daily care and proper handling of equipment provided by Employer.
21. Employees agree to return all such property to Employer in good condition, reasonable wear and tear excepted, upon termination of their employment or upon Employer's request.

§ VI. COMPENSATION AND BENEFITS.
23. Employees working remotely are entitled to remuneration, leave, and other employment benefits as described in any applicable employment agreement and Employer policy.

25. All compensation received by an Employee shall be subject to applicable federal, state, and local tax withholdings and other deductions as required by law.
§ VII. OVERTIME.
26. Non-exempt Employees, as classified under the Fair Labor Standards Act (29 U.S.C. § 201 et seq.) and applicable state wage and hour law, shall be eligible to receive overtime compensation for overtime worked that has been ordered and approved in advance by Employer, and shall accurately record all hours worked.
27. Employer will not accept the result of unapproved overtime work and discourages such practices; however, all hours actually worked by non-exempt Employees shall be compensated as required by applicable law.
28. Failure to obtain prior approval for overtime work may result in removal from the remote work program, disciplinary action, or other appropriate action at Employer's discretion, subject to applicable law.
§ VIII. REIMBURSEMENT.
29. Employees shall be entitled to reimbursement for reasonable and authorized expenses necessarily incurred while conducting business for Employer, as required by applicable federal and state law.
30. Except as required by applicable law, Employer shall not be responsible for reimbursing unauthorized operating costs, home maintenance, or any other incidental costs associated with the use of an Employee's residence for remote work.
§ IX. TRAINING AND CONFERENCES.
31. Remote Employees shall be eligible to attend trainings, conferences, and other professional development opportunities made available by Employer.
32. Employer will notify Employees of relevant and available trainings and conferences.
§ X. REMOTE WORKSITE LOCATION AND INSPECTION.
33. Employees must work in a space suitable to perform their work, whether at their residence or another location approved by Employer.
34. Employees shall work in a space that is free from distraction, well organized, capable of supporting a reliable internet connection, and otherwise conducive to adhering to a steady and reliable remote work schedule.
35. To the fullest extent permitted by law, Employer shall not be held liable for any environmental hazards or injuries occurring in an Employee's remote work environment that are unrelated to the performance of the Employee's duties.
36. Employer may authorize an agent, supervisor, or other officer to periodically inspect an Employee's remote work location to ensure proper maintenance of Employer's equipment and compliance with safety norms and Employer policies.
37. The following amount of prior notice must be provided to an Employee in advance of an inspection: ________.
38. Any inspection shall be conducted during normal working hours and at a time reasonably convenient to the Employee.
§ XI. PERFORMANCE REVIEWS.

§ XII. RESTRICTIVE COVENANTS.

To the extent permitted by applicable law, during their employment and for the period of ________ following the termination of their employment, Employees shall not directly or indirectly solicit, divert, or attempt to solicit or divert any client, customer, or active business prospect of Employer with whom the Employee had material contact during their employment.
42. To the extent permitted by applicable law, during their employment and for the period of ________ following the termination of their employment, Employees shall not directly or indirectly solicit, recruit, or attempt to hire any employee or staff member of Employer.
§ XIII. EMPLOYER RECORDS.
44. Employees shall apply all due care and safeguards to protect Employer records from unauthorized access, disclosure, loss, or damage.
45. All work product created in connection with an Employee's employment, whether performed at a remote work location or otherwise, is and shall remain the sole property of Employer.
46. All records, paper, electronic and computer files, and relevant correspondence must be safeguarded and made available for return to Employer's primary business location upon request.
§ XIV. CONFIDENTIALITY.
47. Employees acknowledge that, in the course of their employment, they may have access to confidential and proprietary information belonging to Employer, including but not limited to trade secrets, business plans, client lists, financial information, and other sensitive materials.
48. Employees agree to maintain the confidentiality of all such information and shall not disclose, use, or reproduce any confidential information for any purpose other than the performance of their duties for Employer, whether during or after the term of their employment.
49. Employees shall take all reasonable precautions to prevent the unauthorized access, disclosure, or use of Employer's confidential information while working remotely, including securing devices, documents, and communications.
50. Nothing in this Policy prohibits an Employee from reporting possible violations of law to any governmental agency or from engaging in any activity protected under applicable federal or state law, including the National Labor Relations Act and the Defend Trade Secrets Act (18 U.S.C. § 1833).
51. Any breach of these confidentiality obligations may result in disciplinary action, removal from the remote work program, termination of employment, and any other remedies available to Employer under applicable law.
§ XV. WORKERS' COMPENSATION.
52. Employees are covered under applicable state workers' compensation law for injuries arising out of and in the course of performing their official duties while working remotely, subject to the requirements of such law. Employees shall promptly report any work-related injury to Employer in accordance with Employer's procedures.
§ XVI. MODIFICATIONS.
53. Employer reserves the right to amend, modify, or revise this Policy at any time in its sole discretion.
54. If substantive changes are made to this Policy, Employees will be notified in writing of such changes.
§ XVII. ACKNOWLEDGMENT.
55. By signing below, Employees acknowledge and confirm that they have read and understood this Policy and agree to comply with all provisions herein.
56. Employees acknowledge and understand that this Policy is a guide and does not create contractual obligations upon the Parties, nor does it alter the at-will nature of employment where applicable. Any existing employment agreement shall prevail in the event of conflict.
57. Employees shall comply with all provisions of this Policy, and non-compliance may, at Employer's sole discretion, result in disciplinary measures and/or removal from the remote work program.
§ XVIII. GENERAL PROVISIONS.
58. Severability. If any provision of this Policy is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to render it enforceable.
59. Entire Policy. This Policy constitutes the entire statement of Employer's remote work expectations and supersedes any prior remote work policies, except to the extent inconsistent with any applicable written employment agreement.
§ XIX. GOVERNING LAW.
60. This Policy shall be governed by and construed in accordance with the laws of the State of ________, without regard to its conflict of laws principles. The Parties consent to the exclusive jurisdiction and venue of the state and federal courts located in ________, State of ________. The Parties agree that this choice of law, venue, and jurisdiction provision is mandatory and not permissive in nature.
