RE: NOTICE TO CEASE AND DESIST — DEMAND TO DISCONTINUE UNLAWFUL CONDUCT

Dear ________:

This letter constitutes formal written notice (the “Notice”) and demand that you immediately CEASE AND DESIST from the conduct described below directed against the undersigned (“Sender”). This Notice is sent without prejudice to, and with a full reservation of, all of the Sender’s rights and remedies at law and in equity.

§ 1. Description of the Objectionable Conduct. The Sender has experienced a continuing course of unwelcome and unlawful conduct attributable to you, which began on or about ________ and has continued to date. Such conduct includes, but is not limited to, the following:

Representative examples and supporting evidence of the foregoing conduct are set forth in the documentation enclosed with this Notice and incorporated herein by reference.

§ 2. Harm Suffered. The above-described conduct is unwanted, unwelcome, and without the Sender’s consent, and has caused the Sender to suffer harm, including the following:

(a) physical harm or injury;

(b) substantial harm to the Sender’s business;

(c) substantial harm to the Sender’s professional reputation;

(d) substantial harm to the Sender’s personal character;

(e) emotional distress; and

(f) additional harm as follows:

§ 3. Demand. The Sender hereby demands that you immediately and permanently cease and desist from all of the conduct described in § 1 above, and from any further conduct of a similar nature, including any direct or indirect contact with, or communication concerning, the Sender, except as required by law. You are further directed to confirm your compliance in writing on or before ________.

§ 4. Consequences of Non-Compliance. If you fail to comply with this demand, the Sender will have no choice but to pursue all available legal remedies against you, including, without limitation, the commencement of a civil action and the pursuit of monetary damages, injunctive and other equitable relief, statutory damages where applicable, and reimbursement of reasonable attorneys’ fees and costs of suit to the fullest extent permitted by applicable law. The Sender further reserves the right to report this matter to the appropriate law enforcement authorities and to seek any protective or restraining order available under the laws of the State of ________.

§ 6. Reservation of Rights. Nothing contained in this Notice shall be construed as a waiver, release, or relinquishment of any right, claim, or remedy of the Sender, all of which are expressly reserved. This Notice is not intended to be, and shall not be construed as, a complete statement of the facts or of the Sender’s legal positions.
