DEED OF REVOCATION OF ORDINARY POWER OF ATTORNEY
(Executed pursuant to the Powers of Attorney Act 1971 and the Companies Act 2006)

THE DONOR: ________, a company incorporated in England and Wales under the Companies Act 2006 with company registration number ________, whose registered office is at ________ (the "Donor").
BACKGROUND
(A) By a general power of attorney dated ________ and granted under section 10 of the Powers of Attorney Act 1971 (the "Power of Attorney"), the Donor appointed the Attorney (as defined below) to act as its attorney.
(B) The Donor now wishes to revoke the Power of Attorney and all powers and authorities conferred by it, with effect from the date of this deed.
NOW THIS DEED WITNESSES as follows:
1. REVOCATION
1.1 The Power of Attorney dated ________, by which:
________, a company incorporated in England and Wales under the Companies Act 2006 with company registration number ________, whose registered office is at ________ (the "Attorney"),
was appointed as the Donor's attorney, is hereby unconditionally and irrevocably revoked together with all powers, authorities and discretions conferred on the Attorney by it.
1.2 The revocation effected by this deed shall take effect from the date stated at the head of this deed.
2. RATIFICATION
2.1 Nothing in this deed shall invalidate or affect any act lawfully and in good faith done by the Attorney in the exercise of any power conferred by the Power of Attorney prior to the date on which this revocation takes effect.
2.3 The protection afforded to a third party dealing with the Attorney in good faith and without knowledge of this revocation under section 5 of the Powers of Attorney Act 1971 shall continue to apply notwithstanding this deed.
3. FURTHER ASSURANCE
The Donor shall, at its own expense, promptly execute and deliver such documents and perform such acts as may reasonably be required for the purpose of giving full effect to this deed.
4. THIRD PARTY RIGHTS
A person who is not a party to this deed shall have no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this deed.
5. GOVERNING LAW AND JURISDICTION
5.1 This deed and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.
5.2 The Donor irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this deed or its subject matter or formation.
