§2. PAYMENT OF CONSIDERATION

2.2 The Investor acknowledges that the shares are issued for cash consideration in accordance with sections 124 to 161 of the Companies and Allied Matters Act 2020, and that the Consideration shall be applied by the Company for its corporate purposes.

§3. ALLOTMENT AND MEMBERSHIP

3.1 This application is made subject to the allotment of the said shares by the Board of Directors of the Company in accordance with the Companies and Allied Matters Act 2020 and the Articles of Association of the Company.

4.2 The Investor confirms that it has the legal capacity and (where applicable) the requisite corporate authority to enter into this subscription and to perform its obligations hereunder.

5.1 This subscription and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

5.2 Any dispute arising hereunder shall, failing amicable settlement, be referred to and finally resolved by the courts of competent jurisdiction sitting in ________.
