Dear Sir/Madam,

RE: NOTICE OF RESIGNATION AS A DIRECTOR OF ________ ("THE COMPANY")

I, ________, of ________, write in respect of my office as a Director of the Company.

  1. Resignation. In accordance with Section 288 of the Companies and Allied Matters Act, 2020 ("CAMA 2020"), the Articles of Association of the Company, and any subsisting agreement between the Company and me, I hereby tender my resignation from the office of Director of the Company, such resignation to take effect from ________.
  2. Cessation of Other Offices. With effect from the date stated in paragraph 1 above, I also resign from all other offices, positions, committees, directorships and appointments which I hold within or on behalf of the Company and its subsidiaries or affiliates (if any).
  5. Confidentiality. I acknowledge that my obligations of confidentiality with respect to the trade secrets, proprietary information and confidential affairs of the Company shall survive the termination of my office and shall continue to bind me notwithstanding this resignation.
  6. Return of Property. I confirm that I have returned, or shall promptly return, to the Company all property, documents, records and materials belonging to the Company that are in my possession, custody or control.
  7. Continuing Duties. Nothing in this letter shall relieve me of any liability arising from any breach of duty committed by me prior to the effective date of this resignation, and my fiduciary duties under Sections 305 to 309 of CAMA 2020 in respect of the period during which I held office shall remain unaffected.
  8. Governing Law. This resignation and all matters arising from it shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
