RE: WRITTEN CONSENT TO ACT AS A DIRECTOR OF ________

I, ________, of ________, holder of identification ________ bearing number ________, hereby give this written consent pursuant to Section 274 of the Companies and Allied Matters Act, 2020 ("CAMA 2020") in the following terms:

1. Consent to Act

1.1 I hereby consent to act, and confirm my willingness to serve, as a director of ________ (the "Company") with effect from ________.

1.2 This consent is given in accordance with Section 274 of CAMA 2020 and shall be filed with the Corporate Affairs Commission together with the relevant statutory forms.

2. Declaration of Eligibility

2.1 I declare that I am not disqualified, restrained or prohibited from acting as a director under Sections 281, 282, 283 and 284 of CAMA 2020 or under any other applicable law.

2.2 I confirm that I have attained the age of eighteen (18) years and am of sound mind.

3. Confirmation of Particulars

3.1 I confirm that the particulars relating to me as required under CAMA 2020, including my full name, residential address, nationality, occupation and date of birth, as supplied to the Company, are true, complete and correct.

3.2 I undertake to notify the Company promptly of any change in such particulars.

4. Undertaking as to Duties

4.1 I undertake to discharge my duties and responsibilities as a director honestly, in good faith and in the best interests of the Company, in accordance with the fiduciary and statutory duties set out in Sections 305 to 307 of CAMA 2020.

4.2 I undertake to act in compliance with the Memorandum and Articles of Association of the Company, CAMA 2020, and all other applicable laws and regulations of the Federal Republic of Nigeria.

4.3 I shall exercise the degree of care, diligence and skill reasonably expected of a person of my knowledge and experience.

5. Number of Directorships

5.1 I confirm that, where the Company is a public company, my appointment will not cause me to hold directorships in more than five (5) public companies at the same time, in compliance with Section 307A of CAMA 2020.
