PET CARE AND BOARDING SERVICES AGREEMENT

This Pet Care and Boarding Services Agreement (the "Agreement") is made and entered into as of the Effective Date by and between the following parties:

The Client and the Pet Care Provider may each be referred to individually as a "Party" and collectively as the "Parties."
RECITALS
WHEREAS the Client is the lawful owner or authorized custodian of the Pet described in this Agreement and wishes to retain the Pet Care Provider to provide care for the Pet;
AND WHEREAS the Pet Care Provider has the requisite skills, qualifications and experience to provide such care and wishes to be retained on the terms set out herein;
NOW THEREFORE in consideration of the mutual covenants and promises contained herein, and other good and valuable consideration (the receipt and sufficiency of which are hereby acknowledged), the Parties agree as follows:
ARTICLE I – PET INFORMATION

1.2 The Client represents and warrants that the Pet's vaccinations are current in accordance with applicable provincial and municipal animal control requirements, and that the following vaccinations are in effect:

ARTICLE II – DESCRIPTION OF SERVICES
2.1 The Pet Care Provider agrees to provide, and the Client agrees to retain the Pet Care Provider to provide, the following services in respect of the Pet (the "Services"):

2.2 The Services shall commence on ________ and, unless otherwise agreed in writing, shall continue until ________.
2.3 The Pet Care Provider shall provide the Services with reasonable skill, care and diligence and in compliance with all applicable laws, including the Animal Protection Act and applicable municipal animal control by-laws of the Province set out above.
ARTICLE III – FEES AND PAYMENT
3.1 In consideration of the Services, the Client shall pay the Pet Care Provider the fees set out below:

ARTICLE VI – EMERGENCIES AND VETERINARY CARE
6.1 In the event of an emergency affecting the Pet, including but not limited to uncontrolled vomiting, seizure, fever, refusal to eat, injury or other serious medical or behavioural condition, the Pet Care Provider shall promptly transport the Pet for treatment to the following veterinary facility (the "Facility"):

6.2 A Veterinary Authorization and Release Form is attached to and forms part of this Agreement, authorizing the Pet Care Provider to obtain treatment for the Pet at the Facility or any emergency clinic.
6.3 If the Facility is closed at the time of the emergency, the Pet Care Provider shall transport the Pet to the nearest available emergency veterinary clinic.
6.4 The Pet Care Provider shall use reasonable efforts to contact the Client at the contact points listed in this Agreement. If the Client cannot be reached, the Pet Care Provider shall contact the following emergency contact:

6.5 The Pet Care Provider shall continue to attempt to reach the Client. The Client authorizes the Pet Care Provider to approve emergency treatment up to a maximum of ________ where the Client and the emergency contact cannot be reached, and the Client shall be responsible for all veterinary costs so incurred.
ARTICLE VII – TERM AND TERMINATION
7.1 This Agreement commences on the Effective Date and continues until the completion of the Services or as otherwise terminated in accordance with this Article.
7.2 Either Party may terminate this Agreement upon ________ written notice to the other Party.
7.3 Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach that is not remedied within a reasonable period after notice, or if the welfare of the Pet so requires.
7.4 Upon termination, the Client shall pay the Pet Care Provider for all Services rendered and reasonable expenses incurred up to the effective date of termination.
ARTICLE VIII – ACCESS AND SECURITY
8.1 Where the Services require access to the Client's premises, the Pet Care Provider shall be granted access in the following manner:

ARTICLE IX – RELATIONSHIP OF THE PARTIES
9.1 The Pet Care Provider is engaged as an independent contractor and nothing in this Agreement shall be construed to create an employment, partnership, joint venture or agency relationship between the Parties.
9.2 The Pet Care Provider is solely responsible for the remittance of all income taxes, Canada Pension Plan contributions, Employment Insurance premiums and other statutory obligations arising from the performance of the Services.
ARTICLE X – INDEMNIFICATION
10.2 The Client shall be solely responsible for any harm, injury or damage caused by the Pet to any person or property during the term of this Agreement and shall reimburse the Pet Care Provider for any costs incurred as a result thereof.
ARTICLE XI – LIMITATION OF LIABILITY
11.1 The Pet Care Provider shall not be liable for any loss, damage, injury or breach of security where any person other than the Pet Care Provider has access to the Client's property during the term of this Agreement.
11.2 Except in the case of gross negligence or wilful misconduct, the aggregate liability of the Pet Care Provider under this Agreement shall not exceed the total fees paid by the Client under this Agreement. In no event shall the Pet Care Provider be liable for indirect, incidental, special or consequential damages.
11.3 The Client acknowledges that the Pet Care Provider does not guarantee against pre-existing conditions, latent illness, or the natural behaviour of the Pet.
ARTICLE XII – INSURANCE
12.1 The Pet Care Provider shall maintain, at its own expense, commercial general liability insurance in a commercially reasonable amount of not less than ________, and shall provide proof of such insurance to the Client upon request.
ARTICLE XIII – PRIVACY
13.1 Each Party shall collect, use and disclose personal information of the other only as necessary for the performance of this Agreement and in compliance with the Personal Information Protection and Electronic Documents Act (Canada) and any applicable provincial privacy legislation.
ARTICLE XIV – GENERAL PROVISIONS
14.1 GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of the Province of ________ and the federal laws of Canada applicable therein. The Parties irrevocably attorn to the exclusive jurisdiction of the courts of that Province.
14.2 LANGUAGE. All communications and notices under this Agreement shall be in the English language, unless the Parties otherwise agree in writing.
14.3 NOTICES. Any notice required under this Agreement shall be in writing and delivered personally, by prepaid registered mail or by email to the addresses set out in this Agreement, and shall be deemed received on the date of delivery if personal or by email, or on the fifth business day after mailing if by registered mail.
14.4 ASSIGNMENT. Neither Party may assign, sell, lease or otherwise transfer this Agreement or any rights or obligations hereunder, in whole or in part, without the prior written consent of the other Party.
14.5 AMENDMENTS. This Agreement may be amended only by a written instrument signed by both Parties.
14.6 NO WAIVER. No waiver of any term or provision of this Agreement shall be effective unless in writing and signed by the waiving Party. The failure of either Party to enforce any term shall not constitute a waiver of that or any other term.
14.7 SEVERABILITY. If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be severed or read down to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
14.8 ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between the Parties and supersedes all prior or contemporaneous agreements, understandings or arrangements, whether written or oral.
14.9 HEADINGS. The headings in this Agreement are for convenience only and do not affect its interpretation.
14.10 COUNTERPARTS. This Agreement may be executed in counterparts, including by electronic signature, each of which shall be deemed an original and all of which together shall constitute one and the same agreement. Where the execution dates differ, this Agreement shall be effective as of the later date of signature.
