LICENCE AGREEMENT
(Licence to occupy residential accommodation pursuant to the "rent-a-room" arrangement)

('the Licensee')
together referred to as 'the Parties' and individually as 'a Party'.
§1. INTERPRETATION AND BACKGROUND
1.1. 'The Licensor' is the person who owns and resides in the residential accommodation and who grants the Licensee permission to occupy part of it in consideration of the Licence Fee, namely ________.
1.2. 'The Licensee' is the person who occupies part of the residential accommodation described in this Agreement in consideration of the Licence Fee, namely ________.
1.3. 'This Agreement' means the present Licence Agreement together with any schedules and any written modifications duly made in accordance with §13.
1.4. 'The Property' means the dwelling in which the Licensor resides and of which part is licensed to the Licensee under this Agreement.
1.6. The Licensee does not enjoy exclusive possession of any part of the Property and the Licensor retains unrestricted access to and control over the Property at all times, subject to §12.4.
§2. DESCRIPTION OF ACCOMMODATION
2.1. The Licensor grants the Licensee the non-exclusive right to use and occupy a bedroom and the facilities described below within the Licensor's dwelling situated at:

2.2. The accommodation licensed to the Licensee comprises the following room(s) and facilities: ________, together with shared use of the common areas of the Property.
2.3. The accommodation is furnished as follows:

2.4. The Licensor shall take all reasonable steps to avoid damage or harm to the Licensee's belongings.
2.5. The Property includes parking for ________ vehicle(s).
2.6. Parking is charged at the following interval: ________, at the rate of ________ (________).
2.7. The accommodation shall be used for residential purposes only. The Licensee is precluded from carrying on any commercial, professional or business activity at the Property.
§3. SERVICES
3.1. In addition to the right of use and occupation, the Licensor shall provide the following services to the Licensee in consideration of the Licence Fee.
3.2. The Licensor shall provide a laundry service. The Licensee shall furnish all laundry to be washed to the Licensor once per week and the Licensor shall wash, dry, iron and return the same in a timely manner.
3.3. The Licensor shall provide the Licensee with a hot meal service on each day the Licensee is resident in the Property.
3.4. The Licensor shall provide a hot breakfast on the agreed days, served between ________ and ________ as agreed between the Parties.
3.5. The Licensor shall provide a hot lunch on the agreed days, served between ________ and ________.
3.6. The Licensor shall provide a hot evening meal on the agreed days, served between ________ and ________.
3.7. The Licensor agrees to provide the Licensee with reasonable lifts within a reasonable vicinity where feasible, subject to the Licensee giving reasonable notice.
3.8. The Licensor shall provide a 'wake-up call' on the agreed mornings at a time agreed between the Parties.
§4. TERM OF LICENCE
4.1. This Licence is granted for a fixed term of ________, commencing on ________ and expiring on ________, unless terminated earlier in accordance with §14.
§5. LICENCE FEE
5.1. The Licence Fee is calculated at weekly intervals.
5.2. The Licence Fee payable in consideration of the use and occupation described above is ________ (________) per week.
5.3. The weekly Licence Fee is payable in advance every ________.
5.4. Where the Licensee's residence begins or ends on a day other than ________, the outstanding balance shall be calculated at a daily rate using a seven (7) day average and added to the Licensee's first or final Licence Fee as appropriate.
§6. DEPOSIT
6.1. The Licensee shall pay a security deposit of ________ (________) to the Licensor on or before the commencement of the Licence.
6.3. The deposit shall be returned to the Licensee following the expiry of the Licence, allowing a reasonable time to inspect the premises, provided the Licensee:
(a) has paid all Licence Fees and charges as they fell due;
(b) has not damaged the Property beyond normal wear and tear; and
(c) has given appropriate notice of termination.
6.4. Where any sum is deducted from the deposit, the Licensor shall provide the Licensee with a written itemised statement of the deductions made.
§7. HOUSEHOLD BILLS AND EXPENSES
7.1. Utility bills and household expenses, namely electricity, gas, broadband, refuse collection and all ordinary recurring household expenses, are included in the Licence Fee and are the responsibility of the Licensor.
§8. METHOD OF PAYMENT
8.1. All payments, including the Licence Fee and any other lawfully accruing charges, shall be made by the Licensee to the Licensor on or before the agreed payment dates by means of ________.
8.2. Upon receipt of any payment the Licensor shall issue a written statement acknowledging the sums received.
§9. FREQUENCY OF OCCUPATION
9.1. The Licensor consents to the Licensee using and occupying the accommodation on any day during the term of the Licence. There is no restriction on the number of days per week or month for which the Licensee may occupy the accommodation.
§10. CONTENTS INSURANCE
10.1. The Licensor maintains household/property insurance which indemnifies the Licensee in the event that the Licensee's personal possessions held within the accommodation are damaged as a result of the following:

10.2. The Licensee is advised to arrange separate contents insurance in respect of any possessions not covered by the policy referred to at 10.1.
§11. LICENSEE'S OBLIGATIONS
11.1. The Licensee shall pay the full Licence Fee and charges when they fall due as defined under this Agreement.
11.2. Should the Licensee experience any financial difficulty affecting their ability to make payment, the Licensee shall notify the Licensor as soon as possible with a view to agreeing a revised payment arrangement.
Obligations of Lawfulness
11.3. The Licensee shall refrain from engaging in any illegal or anti-social behaviour and shall take reasonable steps to prevent others from doing so.
11.4. The Licensee shall refrain from engaging in any activity that is dangerous, offensive, noisome or that may become a nuisance to occupiers of neighbouring property.
11.5. The Licensee shall not conduct any business or professional activity at the Property nor display any advertisement at or in front of the Property.
Obligations of Due Care and Respect
11.6. The Licensee shall, so far as able, keep access to the Property free from obstruction and take reasonable measures to prevent obstruction of the Property's drains and sewers.
11.7. The Licensee shall refrain from any activity that could reasonably result in utilities being disconnected.
11.8. The Licensee shall respect neighbours' rights of way and avoid obstruction of access and of pipes, drains and electrical wiring serving neighbouring property.
11.9. The Licensee shall make all reasonable efforts to take good care of the Property and avoid any damage to it.
11.10. In the event of damage to the fixtures, fittings or furnishings of the Property, the Licensee shall immediately notify the Licensor with a description of the damage and how it occurred.
Obligations of Safety and Security
11.11. The Licensee shall test the fire alarm once per month and notify the Licensor if the fire alarm displays a 'low battery' indication or is defective.
11.12. The Licensee shall ensure that all windows and doors are properly secured on leaving the Property (where no other resident remains) and at night.
11.13. The Licensee shall not give the keys to the Property to any other person, nor make copies of the keys, without the prior consent of the Licensor.
11.14. The Licensee shall notify the Licensor where the Licensee intends to vacate the accommodation for more than five (5) days at a time so that appropriate measures can be taken to secure the Property.
Smoking and Noise Policy
11.15. Smoking is permitted in and around the Property only in the following locations:

11.16. The Licensee shall refrain from making noise audible outside the immediate dwelling (such as loud music, television at high volume, or gatherings) between the hours of ________ and ________.
Cleaning Policy
11.17. The Licensee is solely responsible for the cleanliness and upkeep of the Licensee's private accommodation.
11.18. The cleanliness and hygiene of shared accommodation and common areas is the shared responsibility of all residents, distributed equitably, with each resident cleaning up after their use of any space.
11.19. Shared bathrooms shall be cleaned with bleach and disinfectant at least once per week.
11.20. Shared living or lounge areas shall be dusted and swept or vacuumed at least once per week.
11.21. The kitchen shall be thoroughly cleaned after each use to ensure it is hygienic for other residents.
Guest Policy
11.22. The Licensee may entertain a limited number of guests during the day, provided a respectful noise level and reasonable conduct are maintained.
11.23. The Licensee shall not permit guests to stay overnight at the Property or within the Licensee's private accommodation without the prior consent of the Licensor.
11.24. Subletting the accommodation or receiving any payment for any other person's use of the Property is strictly prohibited.
Pet Policy
11.25. The following animals are permitted to be kept at the Property as pets:

11.26. Pets are to be kept subject to the following conditions:
(a) pets must be properly house trained;
(b) the Licensee shall promptly deal with any animal spoils within the Property and any common areas;
(c) the Licensee shall ensure that any pet is adequately trained so as not to display aggressive or menacing behaviour towards neighbours or passers-by; and
(d) the Licensee shall ensure that any pet does not engage in ongoing, loud or disruptive behaviour likely to cause annoyance to neighbours, with barking, yelping and other animal noise kept to a minimum, particularly during evening or quiet hours.
§12. LICENSOR'S OBLIGATIONS
12.1. The Licensor shall afford the Licensee quiet and peaceful use and occupation of the accommodation throughout the term of this Licence.
12.2. The Licensor shall keep the Property in a good state of repair and structurally sound, and shall ensure that all fixtures, fittings and appliances provided are maintained in good working order.
12.3. The Licensor shall provide the services described under this Agreement in a timely and reasonable manner throughout the term of the Licence.
12.4. The Licensor shall respect the privacy of the Licensee and shall give reasonable notice before entering the Licensee's private accommodation, save in the case of an emergency.
12.5. The Licensor warrants that the Property complies with all applicable fire safety requirements and that a functioning smoke alarm and carbon monoxide detector are installed.
§13. MODIFICATION OF AGREEMENT
13.1. This Agreement may be modified by the agreement of both the Licensor and the Licensee.
13.2. A Party wishing to modify this Agreement shall notify the other Party in writing, indicating the proposed modification.
13.3. The other Party may accept or reject the proposed modification at its sole discretion, subject to each Party acting reasonably with a view to the effective performance of this Agreement.
13.4. The Party not requesting the modification shall have fourteen (14) days from receipt of notice to accept or reject the proposal.
13.5. Where a modification is accepted, a written statement detailing the modification, the date on which it takes effect and the respective rights and duties of the Parties shall be drawn up and signed by both Parties.
13.6. Where a modification is rejected, this Agreement shall continue in its current form and the rights and obligations of the Parties shall continue to have effect.
13.7. The Licence Fee may be reviewed no sooner than twelve (12) months from the commencement of this Licence, namely on ________.
§14. TERMINATION OF LICENCE
14.1. The Licensor may terminate this Agreement on ten (10) days' notice in the following circumstances:
(a) the Licensee has failed to pay the Licence Fee within thirty (30) days of it falling due and the Parties have been unable to agree alternative consideration;
(b) the Licensee has caused serious damage to the accommodation or the Property; or
(c) the Licensee has engaged in or demonstrated illegal or anti-social behaviour.
14.2. The Licensee may terminate this Agreement on ten (10) days' notice in the following circumstances:
(a) the Licensor has committed a material breach of this Agreement which it has failed to remedy after receiving notice of the breach; or
(b) there is a serious danger to the Licensee's life, physical health or safety arising from occupation of the Property.
14.3. Either Party may terminate this Agreement without cause by giving the other Party not less than ________ written notice.
14.4. On termination the Licensee shall vacate the accommodation and return all keys to the Licensor, and the Licensor shall return the deposit in accordance with §6.
§15. DATA PROTECTION
15.1. Each Party shall comply with its obligations under the General Data Protection Regulation (Regulation (EU) 2016/679) and the Data Protection Act 2018. Any personal data exchanged under this Agreement shall be processed only for the purposes of performing this Agreement and shall be retained no longer than necessary for that purpose.
§16. DISPUTE RESOLUTION
16.1. The Parties shall use reasonable endeavours to resolve any dispute arising under this Agreement amicably, and may agree to refer such dispute to mediation.
16.2. Where a dispute cannot be resolved by agreement, it may be referred to the appropriate court of competent jurisdiction in Ireland, including, where the monetary value falls within the relevant limit, the Small Claims procedure of the District Court.
§17. GOVERNING LAW AND JURISDICTION
17.1. This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of Ireland, and the Parties submit to the exclusive jurisdiction of the courts of Ireland.

18.1. The Licensor shall send any notice, summons, document or financial statement relating to this Agreement to the Licensee as follows:

18.5. Any notice sent by post shall be deemed received two (2) working days after posting, and any notice sent by email shall be deemed received on the day of transmission where sent before 5.00pm on a working day, otherwise on the next working day.
§19. GENERAL PROVISIONS
19.1. This Agreement constitutes the entire agreement between the Parties and supersedes all prior arrangements, representations and understandings, whether oral or written.
19.2. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
19.3. No failure or delay by either Party in exercising any right under this Agreement shall operate as a waiver of that right.
19.4. This Agreement is personal to the Licensee and may not be assigned or transferred by the Licensee.
§20. DECLARATION AND SIGNATURE
20.1. The Parties acknowledge that this Agreement is complete, legally binding and enforceable.
20.2. In signing this Agreement the Parties undertake to be wholly bound by its terms.
